2 Horror Entertainment, LLC dba FEARnet Insurance Summary Directors and Officers Liability & Employment Practices Liability Named Insured:Horror Entertainment, LLC dba FEARnet and per the policy form Coverage:Directors and Officers Liability & Employment Practices Liability Insurer:Illinois Union Insurance Company – AM Best Rated “A+ XV” Policy Number:G Policy Period: May 7, 2012 to May 7, 2013 Total Limit of Liability:$3,000,000 in the aggregate (including Defense Costs) ($1,000,000 additional aggregate limit of liability for non-indemnifiable D&O Claims which is excess of the $3,000,000 aggregate) Retention:$25,000 per Claim ($0 for Non-Indemnifiable D&O Claims) Pending & Prior Litigation Date:October 1, 2006 Retroactive Date:N/A (e.g. Full Prior Acts coverage) Annual Premium:$7,775 plus California Surplus Lines Tax & Stamping Fee

3 Notification of any potentially covered claim should be sent to the following: ACE USA 140 Broadway – 40 th Floor New York, NY As you are aware, this is a CLAIMS MADE policy. Therefore, in order for coverage to apply, a Claim must be made against Horror Entertainment or any Insured during the Policy Period (or the Discovery Period, if elected). In addition, the Insureds shall, as a condition precedent to their rights to payment under either Coverage Section, give ACE USA written notice of any Claim as soon as practicable after the Company’s general counsel or risk manager (or equivalent positions) first becomes aware of such Claim, but in no event later than ninety (90) days after the end of the Policy Period. Please note that late reporting could result in a denial of coverage by ACE USA. Rights to select defense counsel: It shall be the duty of the Insurer and not the duty of the Insureds to defend any claim. Acquisition Threshold: If Horror Entertainment acquires more than 50% of the outstanding securities representing the present right to vote for the election of such entity’s directors or managers, or has the right, pursuant to written contract or by-laws or similar documents to elect, appoint or designate the majority of the board of directors or managers, if such entity becomes owned after the inception date of this policy. Cancellation: Insurer may cancel for non-payment of premium and the Insured may cancel at any time.
