SOBA America – Social Arm Goals: Maintain the US/Canada Union Member benefits Brotherhood/Social Structure: Create US For-Profit entity and domesticate in Canada Chapters will use new SOBA America tax ID instead of current Sasse Alumni Inc. tax ID Chapters will have some reporting responsibility

Attention Areas for Chapters Key Operational and structural changes Chapters will use SOBA America, Inc. Tax ID for their back account. DBA designation Any chapter currently using Sasse Alumni Assc. Tax ID needs to close that bank account Tax filing reporting requirements Chapters will report all financial activity to SOBA America Annual income/expense report due January 31st for tax-filing Quarterly Chapter president reports

Sasse Alumni Association – Fundraising Arms US: - 501(c) 3 already in place. Canada: Will create charity per Canadian law by December 31st National Leadership team will work with Montreal and Ontario leadership to accomplish this Board of directors Sole goal is fundraising and management of funds raised for non-profit activity Work with NEC

Sasse Alumni Association – Fundraising Arms: Board of Directors 7 members for 2-year term Board members shall have the following expectations: Respect the relationship between board and SOBA America leadership and membership Engage in strategic planning including fundraising Financially support Sasse Alumni Association Serve as an ambassador for the Sasse Alumni Association Actively participate in all committee and three board meetings Prepare for the meetings – stay informed Help measure board performance Be an advocate and cultivate and engage others in supporting Sasse Alumni Association and SOBA Represent the association at SOBA America events when called upon

Sasse Alumni Association – Fundraising Arms: Board of Directors The Board of Directors shall have the following functions (1) Oversee and direct ALL non-profit fundraising activity of SOBA America carried under IRS Section 501(c)/CRA rules. All such activity must be approved by the board (2) Oversee and direct ALL projects carried by SOBA America with funds rose under IRS Section 501(c) /CRArules. All such projects must be approved by the General Assembly first, before brought to the Board for final approval (3) Ensure that there is proper record keeping of all fundraising activity, funds and projects carried out under IRS Section 501(c)/CRA rules. 

SOBA America, Inc. and Sasse Alumni Association SOBA America shall set agenda for projects All projects must be approved by SOBA America Board of Directors/Sasse Alumni Assoc. approves funding Sasse Alumni Assoc. Board works with SOBA America to ensure project is carried and for accountability/reporting SOBA America President’s authorithy Appoints Board Chair Board chair reports to SOBA America President
