Developing and Exhibiting Managerial Courage Hello everyone, and welcome to today's webinar. My name is Lloyd Johnson, and today we will discussing Developing and Exhibiting Managerial Courage.

Panelist CRISTA HARWOOD Chief Administrative Officer & General Counsel Experian Health Crista Harwood leads the organization’s legal and contracting functions with its business partners and thousands of clients across the U.S. Before joining Passport, Crista practiced corporate finance law with Nashville firm Waller Lansden Dortch & Davis. She has experience representing both borrowers and lenders in corporate financial transactions and is well versed in private equity financing and mergers and acquisitions. Prior to becoming an attorney, Crista worked as a financial analyst at General Motors Corporation and as an industrial engineer at Ford Motor Company. She earned a law degree from Vanderbilt University, an MBA from Michigan State University and a Bachelor of Science degree in Industrial Engineering from Kettering University, Flint, Mich.

Panelist NICOLE THEOPHILUS Chief Human Resources Officer & Executive Vice President West Corporation Nicole Theophilus is the Chief Human Resources Officer for West Corporation, a publically traded telecommunications company with global operations. Niki joined west in 2016 and in that capacity of CHRO, she is responsible for all aspects of the company’s people strategy for its 11,000 employees. After graduating from Drake University for her undergraduate degree and the University of Nebraska College of Law for her J.D. degree, Niki practiced law in Kansas City, Missouri and Omaha, Nebraska with Husch Blackwell LLP, where she specialized in labor & employment litigation and advice. In 2006, she went in house at ConAgra Foods to assist with the formation of its legal department as its Chief Labor & Employment Counsel. In 2008, Niki assumed additional duties as a VP of HR over the Commercial side of ConAgra’s business and in 2009, Niki was promoted to the CHRO for ConAgra Foods, where she led the Human Resources and Communications departments through 2015.

Part 1: What is Managerial Courage? What does managerial courage look like in the workplace? It is the willingness to raise difficult issues openly and honestly. It means putting the need to do the right thing ahead of personal concerns about career and advancement – saying what people should hear rather than what they want to hear. People who have it: Tackle difficult issues with optimism and confidence Share sensitive messages or unpopular views in a motivating manner Let people know where they stand, honestly and sensitively Volunteer to tackle and lead tough assignments

Panel Discussion What does managerial courage look like as a lawyer? Why is managerial courage so critical in the workplace for lawyers?

Part 2: What Happens When We Fail? We shy away from difficult issues or challenging assignments We express our point of view in an indirect manner We avoid giving corrective feedback We fail to take a stand on important issues Panelists’ reflections on stories of failure and impact on the organization.

Part 3: Our Stories of Success How did you prepare to be courageous in this instance? How did the organization react? Your boss/client/peer? What did you learn from this instance? Panelists’ reflections on personal stories of success

Part 4: Related Competencies and Practical Tips Confidence (expertise relationships, the facts) Relationship and Network building Interpersonal Savvy and Tact Business Insight & Financial Acumen Practical Tips: Adjust your message and method to audience or person Come prepared – plan for your courageous moments in advance A little flattery will get you further than you think – being courageous doesn’t mean being contentious Be a problem solver, not just a problem raiser The foundation of Managerial Courage is CONFIDENCE: in one’s expertise, relationships and the facts.

Part 5: Developing Your Own Managerial Courage – How To Take The Leap Take on a challenging issue – but start small Don’t be caught off-guard – come prepared to take a stand, don’t just jump into the fray Conduct a stakeholder analysis – know who and what you are facing Work with the facts – be succinct and direct, avoid emotion and passion Get familiar with the entire business case – understand all sides of the issue and what a “good” result looks like
