On consideration of the Report on compliance with the Corporate Governance Code Principles of the Development Bank of Kazakhstan (as of December 31, 2014)

Corporate Governance Code of the Development Bank of Kazakhstan The Corporate Governance Code of the Development Bank of Kazakhstan (hereinafter referred as to the Code, Bank) is a set of principles and rules to be followed daily by the Bank during engaging in its business activity for provision of high level of confidence, predictability and transparency in relations between participants of the corporate management system. The evidence of the Code’s principles and rules being followed by the Bank is the Report of the Bank on compliance with the Code as of December 31, 2014. The Report was considered and taken into consideration by the Board of Directors (Minutes of Meeting № 169-2015-06 dated June 10, 2015) Principles of the Corporate Governance Code I. principle of protection of rights and interests of the sole shareholder Complied II. principle of effective management by the Bank’s Board of Directors and executive body III. principle of effective control over the Bank’s financial and economic activity IV. principle of transparency and objectiveness of disclosure the information about Bank V. principles of legality and ethics VI. principles of social responsibility and development of partnership relations with concerned parties VII. policy of corporate conflicts settlement
