Strategic Review Update Phase 1: redefine the purpose of IACP ‘Why’ IACP exists for a member centric organisation All actions should follow the purpose Phase 2: recruit Head of National & Member Services Phase 3: Governance of Board and the delegated functions of the Board – the office, sub-committees Phase 4: Strategic Plan

Governance and Organisational Reform The reasons for reform – There have been changes to Company Law. IACP is a Charity and the changes to Charities legislation have added responsibilities on Boards and organisations. The Charities sector has developed a Governance Code and IACP needs certain reforms to be in a position to declare compliance IACP is now a larger organisation than the current Governance model facilitates.  

Review function/operation of Board Excellence of Practice, Career Development, Wider Awareness Ethos Standards and Governance Financial Responsibility Strategic Direction Management of CEO Operational oversight

Governance Review – to be done Review of the membership structures of the Company Will involve changes to the Constitution and Byelaws What are the defined membership categories? Who can contribute at General Meetings? Who can vote and how? All these to be considered and proposals to be put forward. Submissions invited and ultimately the Board will make a proposal to the General Meeting.  

Organisation Review and Reform Board Reform Evolving from an Executive Committee to a Board Creating structures which the size of IACP now requires and facilitates compliance with developments in the law and the sector Election of Directors and terms How the Board operates and its procedures

Organisation Review and Reform The Board has the primary and ultimate responsibility for the Company The size of the organisation requires delegation The chief officer and the Head Office The sub-committees – standing committees, regional committees and other temporary specific purpose sub-committees The Review involves an examination of the roles and functions of all of these. 

Proposals for Change These reforms will require changes to the Constitution and Byelaws/ Regulations of the Company. Following the initial review the Board will bring forward proposal and invite submissions from the members. Any submissions received will be considered carefully and the proposals will then be finalised by the Board. The final proposals will be considered by the General Meeting of the members of the Company.
