Purpose of the event Today’s collaboration event will aim to cover the following: SCC to provide overview of work undertaken so far in relation to Mental Health and Dementia Services re-commissioning; Providers to be given the opportunity to give a short presentation about their organisation and areas of interest; SCC to provide information regarding types of potential collaboration models; SCC to give an update regarding ‘Next Steps’…

Provider Presentations If you are interested in any joint working arrangements and you would like to introduce yourself and your organisation: You will have the opportunity to speak for up to 5 minutes and provide information on: The services you currently provide; Future areas of provision your organisation is interested in. Also, you are welcome to hand out promotional information and there will be opportunities for you to share your contact details with other providers during the event.

Collaborative Working Joint Working by two or more organisations while remaining as separate organisations or creating a separate entity depending on which arrangement suits the companies Different forms of collaboration can last for a fixed length of time or become a permanent arrangement Joint Working is very useful in situations where the range of required capabilities/services or geographical coverage for a contract is too diverse to be delivered by a single organisation

Examples of Collaboration Partnerships Consortium Arrangements Sub-Contracting Joint Ventures

Partnerships Informal Partnerships: An informal partnership arrangement between organisations could be called a loose consortium. All companies involved agree to work together to common aims There may or may not be a written partnership agreement and the arrangement would not have a separate legal status outside of its members Organisations would have to tender as independent companies for the areas of work they are interested in

Partnerships continued…… A legal partnership: Two or more individuals work together with a view to working under a legal agreement Partners are jointly and separately responsible for all the partnership's debts and liabilities, quality assurance and all contractual obligations

Consortium Arrangements A consortium is an association of two or more individuals, companies or organisations with the objective of participating in a common activity, such as responding to a tender, or pooling their resources to achieve a common goal A consortium is established by a formal contract. All partners would agree areas of work based on specialism, capacity and geographical spread Within a consortium, each provider can either retain their separate legal status where the consortium’s control over each participant is generally limited to pre-agreed activities involving the joint working and including the division of profits. Consortiums can also be set up as a separate entity and jointly responding to a tender as a single entity

Consortium Arrangements Continued… A 'lead partner' Consortium In this model, organisations could come together to form a consortium and nominate a 'lead organisation' which the others agree to work with The consortium would usually be led by joint members from each organisation and the consortium would have no separate legal status. A consortium agreement would be put in place among members which would set out their legal rights and obligations. The nominated lead organisation would manage the contract and distribute funds to other members via agreed arrangements for particular services or outputs. The lead organisation would normally apply or submit a bid on behalf of consortium members although all members can contribute to completing a tender

Consortium Arrangements Continued… Supply chain consortium: A Consortium might be formed in which the lead organisation manages a supply chain but does not deliver a service The lead organisation would manage the contract, distributing work and funds based on agreed arrangements to individuals or organisations on the supply chain for particular services they deliver

Sub-Contracting A Sub-Contractor is an individual or company who is hired by an organisation or consortium to perform a specific service as part of the overall contract The main contractor/lead organisation would continue to have overall responsibility for the whole contract delivery The lead organisation would manage the contract, distributing payments to the Sub-Contractors via sub-contracting arrangements for particular agreed services or outputs.

Sub-Contracting Continued…. Sub-Contracting is very useful in situations where the range of required capabilities/services for a contract is too diverse to be delivered by a single organisation

Joint Ventures A Joint Venture (JV) can be described as a business enterprise where two or more parties come together to share their expertise in order to win a specific contract for a set period of time. A Joint Venture is a ‘separate entity’ and is not part of the individual participant’s own enterprise. Therefore a Joint Venture must have its own set of rules by which it is managed - called a Joint Venture Agreement. . Both parties agree to create a new entity by contributing equity and then share in the revenues, expenses and control of the enterprise.

Opportunities Joint working may provide your organisation with new opportunities to bid and secure contracts in which your company may not otherwise have been possibly due to the size and scale Allow for the sharing of resources, skills, experiences and expertise and give your business the opportunity to gain new experiences within new markets. Increase your geographical spread and the scope of your delivery Achieve mutual advantages in a range of ways - sharing costs, delivering integrated services, increasing visibility of your organisations, achieving a shared aim, sharing knowledge and contacts.

Next Steps… Output from the Market Engagement Event (22 April) and Service User engagement will be used to feed into the Commissioning process All future information including Presentations and Q&As will be posted onto Pro-Contract via www.supplyingthesouthwest.org.uk
