Certificate (Articles) of Incorporation: The name of the company; The company purpose; The county in which the principal office sits; The total number of corporate shares and their value; A description of any class of shares, preferential treatment, limitations or rights accompanying ownership of the shares; A designation that the Secretary of State is the designated agent of the corporation to receive service of process; The name and address of any in-state registered agent appointed by the incorporators; The duration of the corporation (if it is not perpetual).
