What is the NAPM LLC The NAPM LLC is a Delaware Limited Liability Company The NAPM LLC was formed for the purpose of engaging in business activities related to the development and implementation of policies for number portability in the 7 NPAC regions of the United States (see slide 3) The NAPM, LLC membership is currently made up of companies from a cross section of the industry with members that provide all classes of service, including: Wireless Wireline Cable Interconnected VoIP

NAPM LLC History With the introduction of competition for telecommunications services, the Federal Communications Commission (FCC) required the industry to implement Local Number Portability (LNP) so that consumer can maintain their telephone numbers when changing service providers. The national data base that facilitates LNP is known as the Number Portability Administration Center (NPAC). In 1997, the FCC approved the formation of seven limited liability companies (LLCs) to manage the Local Number Portability Administrator (LNPA) in each of the seven LNP regions. In accordance with the FCC's order, the industry formed seven LLCs, one for each of the seven LNP regions. In 1999, the industry consolidated the seven LLCs into one entity, the NAPM LLC, which manages all seven LNP regions. The NAPM LLC has been structured to ensure that any interested telecommunications (and now Interconnected VoIP) service provider or trade association can become a member of the NAPM LLC (Member), and that all Members have an equal vote regardless of size.

Responsibilities of the NAPM LLC The NAPM LLC, with oversight by the FCC, is responsible for: Engaging in the business activities necessary to facilitate LNP in accordance with applicable law Seeking to ensure that the NPAC operates as efficiently and as cost effectively as possible, including by developing and issuing, when appropriate, Requests for Information (RFIs) & Requests for Proposals (RFPs) Managing the Master Service Agreement(s) (MSAs) with third party vendor(s) chosen to serve as LNPA(s) Partnering closely with industry and the FCC to effectuate a smooth and orderly transition of the NPAC data bases in each of the seven regions

Management Activities of the NAPM LLC Negotiating the MSAs and Managing the LNPA(s) Ensuring that NPAC data is used appropriately and in accordance with the NPAC/SMS User Agreements between Users and the LNPA(s) Partnering with industry to ensure that requests to enhance NPAC functionality are completed pursuant to the terms of the MSAs Monitoring the performance of the LNPA by using a set of Metrics and Measurements that conform to industry standards

NAPM LLC Meetings The NAPM LLC meets once a month, alternating between conference calls and face-to-face meetings. Meeting dates are scheduled and communicated on an annual basis. The agenda for each meeting is circulated in advance of each meeting. Special meetings may be called when necessary pursuant to the notice requirements set forth in the NAPM LLC Operating Agreement. Each meeting may last up to one and one half days depending upon the subject matter of the agenda for the meeting. Members may attend all meetings by conference call (including the face-to-face meetings every other month), but Members are encouraged, for the sake of productivity, to attend the face-to-face meetings in person if possible. Member companies generally take turns hosting the face-to-face meetings. Each meeting has an open portion, which non-members may attend, and a closed portion, which can be attended only by Members. The NAPM LLC observes the “Roberts Rules Of Order.” 7

Becoming A Member NAPM LLC membership generally is open to any provider of telecommunications or interconnected VoIP services, or to any trade association so long as 50% or more of the trade association's members provide telecommunications or interconnected VoIP services. An eligible provider of telecommunications/VoIP services or trade association can become a NAPM LLC member by: completing a membership application (which must be verified); paying a one-time initiation fee of $10,000; and Paying its pro-rata share of the NAPM LLC annual budget for the current budget period, which runs from April 1st through March 31st of each year. The NAPM LLC determines its annual budget in November of each year based on the projected operating expenses for the upcoming annual budget period. The amount of the annual budget varies each year based on the activities undertaken by the NAPM LLC for the year, with each Member funding an equal portion of the projected operating expenses. Invoices for each member's equal share of the annual budget typically are issued in December with payment required by no later than March 31 of the next year. 8

Benefits of Membership Members have a responsibility to ensure that technological changes do not adversely impact the platform(s) used to provide telephone number portability, and that regulatory changes are implemented appropriately. While all parties can contribute indirectly to the important decisions regarding local number portability, Members can directly share the benefits of their expertise in the discussions about the activities of the NAPM LLC. Diversity of membership in the NAPM LLC is critical to ensuring that the responsibilities of the NAPM LLC are fulfilled as effectively and efficiently as possible, which is why the democratic structure of the NAPM LLC ensures that every Member -- regardless of size or service provided -- has an equal voice in all decisions, which helps to maintain a balanced view of industry needs with respect to telephone number portability. Members are more easily able to gain a sophisticated understanding of local number portability and the issues addressed by the NAPM LLC through direct participation in the discussions amongst the diverse Membership that the NAPM LLC facilitates.
