PROPOSED CHANGES TO THE CLUB’S CONSTITUTION AND BYLAWS

Substantial Bylaw Changes-overview You can vote at age 16 instead of 19. If you are too young to vote your parents are automatically members who can vote. Membership meetings require 3 weeks notice not 2 weeks. Membership only lasts until the end of the Curling Season Directors that are appointed to fill vacancies stay in their job for the full term of who they are replacing, instead of having to be elected at the next meeting. Directors can be paid up to the cost of their membership. Obsolete bylaws removed By laws related to times, locations and rules of meetings move to policy and procedure if needed. Bylaws of questionable legal enforcement removed Day to Day operations removed, to be contained in an easily amendable Policy

Current Bylaw Proposed Bylaw You can vote at age 16 or your parents are automatically members who can vote Proposed Bylaw Current Bylaw Classes 2.7 Membership in the Society shall be divided into the following classes: (a) (i) “Adult Curler Member” is a member who is the age of majority and participates in the Society’s activities; (ii) An Adult Curler Member in good standing is a Voting Member. (b) (i) “Minor Curler Member” is a member who is under age of majority and participates in the Society’s activities; (ii) A Minor Curler Member in good standing and who is the age of sixteen (16) or over is a Voting Member; (iii) A Minor Curler Member in good standing and who is under the age of sixteen (16) is not a Voting Member. (c) (i) “Non-Curler Member” is a member who is the age of majority but is not an Adult Curler member; (ii) A Non-Curler Member may be a guardian of a Minor Curler Member; (iii) A Non-Curler Member is not a Voting Member, except when the Non-Curler Member is the guardian of a Minor Curler Member under the age sixteen (16). (iv) In the case of subsection (iii) above, the Non-Curler Member is entitled to one vote only regardless of the number of Minor Curler Members for whom that Non-Curler Member is a guardian. 6. Membership in the society shall be open to all persons desirous of furthering the purposes of the society and every member shall uphold the Constitution and comply with these by-laws. Membership in the society shall be divided into the following classes: a) Regular members “voting”, who shall be those members, the age of nineteen (19) years or over, vested with the right to vote on society affairs and business by virtue of their membership and who are in good standing; and, b) Junior members “non-voting”, who shall be those members, under the age of nineteen (19) years, with no right to vote on society affairs and who are in good standing.

Membership meetings require 3 weeks notice not 2 weeks Current Bylaw Proposed Bylaw PART 3 – MEETINGS OF MEMBERS Meeting Notice 3.1 A notice of meetings must state the nature of any business, date, time and location of the meeting to every Voting Member with an email address at least twenty-one (21) days immediately before the meeting and be posted on the Society’s website and notice board. 61.1 Notice of a general meeting must be given to: a) At least fourteen (14) days notice specifying the place and hour of any meeting, and in case of special business, the general nature of such business shall be given to each voting member either personally or by the public posting of said notice within the time period noted above. b) Every member shown on the register of members on the day notice is given

Membership only lasts until the end of the Curling Season Current Bylaw Proposed Bylaw Terminations 2.8 A person ceases to be a member of the Society in any one of the following ways: (a) At the end of the Curling Season; (b) By delivering his or her resignation in writing to the Society; (c) On his or her death; or (d) On termination of his or her membership after a determination by the Board. 8. A person ceases to be a member of the society: a) By delivering his or her resignation in writing to the secretary of the society or by mailing or delivering it to the address of the society, b) On his or her death, c) On being expelled, or d) On becoming a member not in good standing for any reason whatever.

Current Bylaw Proposed Bylaw Directors that are appointed to fill vacancies stay in their job for the full term of who they are replacing, instead of having to be elected at the next meeting. Current Bylaw Proposed Bylaw Directors may fill casual vacancy on Board 4.6 The Board may, at any time, appoint a member as a Director to fill a vacancy that arises on the Board as a result of the resignation, death or incapacity of a Director (the “Outgoing Director”) during the Outgoing Director’s term of office. Term of appointment of director filling casual vacancy 4.7 A Director appointed by the Board to fill a vacancy ceases to be a director at the end of the unexpired portion of the term of office of the Outgoing Director. 28.1 The directors may at any time and from time to time appoint a member as a director to fill a vacancy in the directors. 28.2 A director so appointed holds office only until the conclusion of the next annual general meeting of the society, but is eligible for re-election at the meeting. 29.1 If a director resigns his or her office or otherwise ceases to hold office, the remaining directors must appoint a member to take the place of the former director.

Directors can be paid up to the cost of their membership. Current Bylaw Proposed Bylaw Remuneration of Directors 7.1 The Society may: (a) pay a Director remuneration for being a Director; (b) subject to the Act, pay remuneration to a Director for services provided by the Director to the Society in another capacity. 7.2 Any payment totaling over the current cost of an annual single membership fee to a single director in a finance year must be approved by a special resolution at a members’ meeting. 32. A director must not be remunerated for being or acting as a director but a director must be reimbursed for all expenses necessarily and reasonably incurred by the director while engaged in the affairs of the society.

Removed from the Bylaws: Obsolete or Redundant Part 11 - Bylaws 62. On being admitted to membership, each member is entitled to, and the society must give the member without charge, a copy of the constitution and bylaws of the society. Part 12 - Documents and Records 65. A member and director register shall be maintained by the society. Part 13 - Leagues 67.1 The annual general meeting for each league shall be held at least once in every calendar year on or before the thirtieth (30th) day of March in each year. 69. League directors may meet at the places they think fit to conduct business, adjourn and otherwise regulate their meetings and proceedings, as they see fit for their league. 70. League directors will collect membership information and membership fees, as determined under bylaws 4 and 7. Membership information and fees will be forwarded to the society on the first (1st) day of November or thirty (30) days after the member joins the league thereafter.

Removed from the Bylaws: Will be moved to Policy 67.2 The number of league directors for each league must be at least two (2) and will follow the bylaws of the society and the Society Act. 68. The amounts of the league fees and any special assessment shall be determined by the league directors from time to time at their discretion. Leagues will maintain records as per outline in these bylaws. Yearly on the fifteen (15th) day of April the league will provide the financial statements and a directors register to the society. 72. Robert’s Rules of Order, where not inconsistent with these by-laws, shall apply so far as applicable to all meetings of the society, and the directors.
