2018 Election of Directors The National Board consists of up to 20 Directors We strive for a balance between provinces that is reflective of our membership distribution The Board of Directors has 12 Directors at large positions in election (9 renewals and 3 new members) The Board’s Nominating Committee has recommended candidates for these positions to the Board of Directors The current Board of Directors approves and recommends to the BPG Ontario Central Chapter membership the following 12 candidates for your approval for the 2018/2019 Board.

The 2018-2019 Slate of Directors Ontario: Patte Seaton, Diane Holgate, Gayle Duchene, Marg Eades, Dave Palmer, Peter Dilworth, Denis Henry, Lee Anne Mackey Québec: Denis Marquis, Carol Lacroix, Raynald Wilson, Christiane Chabauty The 7 Chapter Chairs are Directors on the National Board and are elected by the membership of their respective Chapter: Ontario: Marlyn Easterbrook, Steve Longeway, Carol Ann Cole, Québec: Roger Gauthier, Lucie St-Arneault, Marjolaine Gilbert-Poulin Aliant Atlantic (new Chapter): Bob Noseworthy

Approval of the 2018/19 BPG Board MOTION The BPG membership renews Patte Seaton, Diane Holgate, Marg Eades, Denis Henry, Denis Marquis, Carol Lacroix and Raynald Wilson, for an additional two-year term (2018-2020) and elect a new director Christiane Chabauty for a two-year term (2018-2020) , as recommended by the current BPG Board Moved: Seconded: 4 Chapter Chairs to be elected only by the membership of their own Chapter : 2 renewal (Marlyn Easterbrook and Marjolaine Gilbert-Poulin) and 2 new Chairs (Carol-Ann Cole and Steve Longeway)

New Board Appointment The new Board members will assume their roles and executive appointments upon conclusion of the majority of the AGM’s at June 18th 2018 board meeting. Treasurer’s Report Glen Simpson has been our longest serving Treasurer for nine years. We thank Glen for his service. He has trained Kathy Stoddard who has now assumed the full Treasurer responsibility. Kathy will present the BPG financial report including the Public Accountants Review, and move Motions to approve the Financial Statement and Appoint the Auditors.

Appointment of Public Accountant for 2018 In accordance with the Not-for-Profit Corporation regulations: Board of Directors approved the Financial statements as reviewed by BDO at the April 17th, 2018 meeting. Board of Directors recommends that the members appoint BDO as our public accountant for the coming year to conduct a review engagement for the year 2018

Receipt of the Financials MOTION 1: Be it resolved that the Membership receives the BPG’s Financial Statements for the fiscal year ended December 21, 2017, reviewed by BDO Canada L.L.P., Chartered Professional Accountants, as presented. MOTION 2: Be it resolved that the firm BDO Canada be retained as the public accountant for BPG until the close of the next annual meeting at the remuneration provided in their quote for accounting services of approximately $8,000 to conduct a Review Engagement and file tax returns.

Proposed By-Law Revisions to Articles 1 and 5 Board of Directors recommends to the members the following changes to By-Laws 1.A and 5.9: MOTION: Be it resolved that the Members of the Bell Pensioners’ Group approve the following changes to the By Laws Article 1.A and 5.9: Article 1.A.b: add “Audit” and “Auditor” to the Definitions section – means the use of a Public Accountant to conduct an annual financial review or audit Article 5.9: Expand banking to Canada rather than only Ontario and Quebec
