Purpose Conformity with bylaws Inviting all members of the Association, Submitting to your approbation Accounting and financial results 2012 presenting main projects 2013,2014 -We are today, in our 2013 Ordinary General Assembly, in conformity with the ETHICS Association bylaws and current legal generally admitted requirements, I-nviting all members of the Association, -Submitting to your approbation the accounting and financial results of our last statutory exercise. -From January 27th, 2012 ( Date of Constitutive Assembly of the Association) to 31/12/2012, date of end of first exercise ( as defined by our Internal Rules) -We also present you the main on going 2013 financial actions and projects engaged and 2014 object

General rules The Association is made up of the following categories of members: Founding members Benefactor members Active members Honorary members. New Members profiles: Validated by the Bureau the Association is made up of the following categories of members:  Founding members; Roeland Van Aelst and Dominique Laymand,  Benefactor members The benefactor members are corporate or individual entrepreneurs whose actions contribute to achieving the purpose and aims of the Association, through payment of a special annual subscription, the amount of which is determined each year by the board of directors or who support the Association by means of donations, subsidies or exceptional contributions to its works. The benefactor members are passive members. The benefactor members have no voting right and do not participate to the general assemblies of the Association nor to its executive bodies. Companies which employ one of the founding members automatically become benefactor members.  Active members; And  Honorary members 2.4 The active members are individuals who are prepared to demonstrate and implement a positive contribution to the Association’s purpose and to take part in its works and activities, and, in exchange, to enjoy the Association’s services and benefits. The active members shall pay an annual subscription, the amount of which is set each year by the board of directors. PARIS-1-1167029-v3 - 3 - NEW 2.5 The honorary members are nominated by the board of directors or the general meeting, as a result of services rendered to the Association or their particular skill or expertise in the domain of compliance or ethical standards. The honorary members are not obliged to pay an annual subscription.

Membership summary 2012 2013 ( membership up to date at Sept 25, ) Messages 1st year, mostly paying members Agreement that starting 1st of June 2012, new members would have their membership applying to 2102 and 2013 2nd year : this explains the new structure , including almost half of the members are non paying this year. This was compensated by new addtional members and the savings made in 2012. Also, we expect more members to join in the coming 2013 ( membership up to date at Sept 25, )
