What we will cover The Brief: “Create a comparative table with a summary of notary fees, tax, registration dues etc. for basic transactions and businesses (collateral and secured financing)” Scope: To cover typical third party costs and disbursements involved in a secured finance transaction rather than internal CMS legal fees Aim: Disbursements, notarial, registration fees and other costs can fluctuate massively across different jurisdictions – our aim is to provide useful, user friendly reference guides for comparing these costs across all jurisdictions in which CMS operates for reference in finance transactions Our Product: Internal comprehensive guide detailing third party costs, including comparative overview table Client facing e-guide on third party costs, registration and associated costs

Internal Comprehensive Guide to Third Party Costs Overview over the essential steps to establish the collateral Overview over the calculation of the third party fees All common collateral Around 130 pages including 20 jurisdictions in alphabetical order It does not replace the advice of the foreign counsel First impression to provide first advice to the client

e-guide on Third Party Costs CMS e-guides offer a dynamic and cost effective way to manage the expert legal content of CMS publications online. Our Third Party Costs e-guide is based on the existing BAF e-guides on: Taking Security Real Estate Finance We have: Built upon our existing resources and produced a form of e-guide to cover third party costs in a client friendly way Approached other jurisdictions and included this information in the e-guide Updated the existing BAF e-guides Included hyperlinks to the Third Party Costs e-guide in the BAF e-guides

Summary: The benefits of and future for our product… Our comparative guides allow the third party costs and disbursements which will be involved in multi jurisdiction transactions to be easily identified at the outset of the transaction. Where such costs will be significant this allows them to be flagged internally and to the client at an early stage. The e-guide builds upon an existing know-how and client resource which means it would be easy to implement. The cost of producing guides in e- format is also considerably lower than print and updating the content is straightforward and easily accessible both internally and for clients. Future: Include information from the remaining jurisdictions into the internal guide and the e-guide. The information contained in the comparative guides could be used as a basis to create a cross border “pricing tool” to identify the actual costs involved when scoping transactions.
