Approval of New Member - BCSD October 2016 – The documentation required in support of the application of the Bahamas Central Securities Depository was received and reviewed by ACSDA Legal Council November 16, 2016 – The membership application of the Bahamas CSD was approved by the ACSDA Executive Committee November 17, 2016 – ACSDA members were notified of the application December 17, 2016 – The 30-day member comment period concluded with no objections to the application of BCSD

Proposed By-law Modification Article 6 - Membership   Central securities depositories, clearing houses and other organizations of the Americas acting professionally as securities depositories or securities clearinghouses, irrespective of what other functions they may perform, and which are recognized as such by the competent authority, shall be entitled to become members of the Association if they meet the requirements established in these Bylaws and they are admitted by the General Assembly. Moreover, stock exchanges and central banks performing the function of central securities depositories or clearinghouses and which are duly recognized as such by the competent authorities in their respective countries, are also entitled to become members of the Association. They will lose such right, however, at the time when such functions are transferred over to a securities depository or securities clearinghouse. Notwithstanding the foregoing, banking corporations, regardless of what is their primary line of business and even if they provide securities depository services and/or clearinghouse services, shall not be entitled to become members of the Association. For the purpose of this article, the term “securities” will not mean Forwards, Swaps, Options, Repos or any other derivative or contract over securities, nor cash or interest over cash.

Election of the Executive Committee According to the ACSDA by-laws, the Executive Committee will Be elected for a term of two (2) years Will be composed of between 5 and 9 members Recommendation The Executive Committee continue to be comprised of 9 members for the 2017 – 2019 term The following 9 member organizations be elected to the Executive Committee Banco Central del Uruguay, CVSA Argentina, DCV Chile, Deceval Colombia, Latinclear Panama, Indeval Mexico, CVN Guatemala, ECCSD - Eastern Caribbean, DTCC USA

Election of Officers of the Association According to the ACSDA by-laws, the President of ACSDA will Be elected for a term of two (2) years Be elected by the General Assembly from among the Executive Committee Members with the vote of the majority of the Members present at the meeting According to the ACSDA by-laws, the Executive Committee will elect the Vice-president and Treasurer at their first meeting following their election
