Scottish Governance Code QUIZ

Organisational purpose When did your Board last discuss what your organisation is about? 2. Do all your Board members have a copy of your governing document (and can find it easily)? Is the document up to date? 3 Do Board members ensure your organisation uses all its assets consistent with your organisational purpose and the needs of your beneficiaries or cause?

Leadership 1.Does your Board share and agree on the values that underpin your organisation, and put them first when making decisions about the work and the use of resources? 2. Do all Board members understand, that irrespective of the office they hold, their duties are collective, and that they are all equally accountable for decisions made and the outcomes? 3.Do your Board members understand the difference between governance and the operations /management of the organisation?

Board behaviour Is the behaviour of Board members enabling and supportive? Is there a Code of Conduct? If so is it referred to usefully? 2. Is the Board open about the decisions it makes and able to adequately explain / account for them? 3. Does the Board know what to do, and where to seek support, if there are difficult dynamics between Board members, or between Board members and staff / volunteers?

Control 1.Do your Board members feel confident that they know what is going on in the organisation? 2. Are Board members satisfied with the level of scrutiny, e.g. through financial management and controls, contracts, risk management? 3. Are Board members clear about their powers, as stated in the governing document, and the limits to those powers?

Effectiveness 1.How does your Board know it is effective? E.g. how productive are Board meetings? 2. Does the Board regularly make time to review and reflect on its work and its working relationship? 3. Does the Board invest in ensuring that Board members are ready for their role and to actively participate in governance?
