Compliance – why it matters Why does it matter to Citrix ? Why does it matter to YOU? Why Compliance is important to Citrix: you are the face of Citrix to many customers and so what you do reflects on Citrix If you do the wrong thing - Citrix can be legally responsible for your actions in some cases even if we are not aware of your actions We want to maintain and develop our relationship with you. If you do the wrong thing, then we may have no choice but to stop doing business with you Why Compliance is important to you: Citrix is a MNC, listed in the US. We strive to comply to both US and local regulations. What is legal and/or customary in your country may still breach US or UK laws AND the regulatory authorities in those countries may take action against you (as they often do) These days Citrix, and most other major IT vendors, are required to do due diligence / compliance checks on resellers on a regular basis. "It's a small world". If those checks show that you have done any action against the law, Citrix (and other major vendors) may have no choice but to stop doing business with your company. Doing the wrong thing is bad for your business

Doing Business ethically You Doing Business ethically Competing fairly Company Policies Conducting Business Ethically Basic principle is that no cash payments ,either directly or indirectly- to any individual connected with a customer to solicit Citrix business (especially a government customer). Lavish entertainment or gifts can also be considered as bribes Adopt an Anti Bribery policy (example – Citrix’s Anti-bribery policy) and develop measures to ensure that your employees are aware of the requirements and do comply. Competing Fairly: No favouritism. If you feel that your company is not given a fair chance to compete because another partner is receiving the majority of the opportunities for no good reason, then you should raise your concern with your Citrix contact or, if you prefer, with more senior Citrix management. Company Policies Channel programs are not to be abused. Make yourself familiar with the key programs and resist any attempt to abuse any program or to create a separate parallel program. For example, it is Ok to have your own marketing programs but don't collude with a Citrix employee to create a separate slush fund outside the Marketing Coop Program. Any variation to the Citrix standard business, legal or finance terms - in general or for a particular deal - has to be approved and signed off internally in Citrix. Side letters/emails with , or verbal representations from, your local Citrix contact will not be honored.  No right of return of product(except under warranty) even if someone from Citrix says so. You should only place an order with Citrix and / or Citrix distributor if there is a corresponding order from an end user in the same quarter.  

What to do if you see a concern Ask questions and raise concerns. Citrix wants you to do it. No retaliation. Citrix Helpline – can be anonymous and helpful Submit a report by going to http://citrix.alertline.com or Speak to someone the local numbers and access code can be found at http://www.business.att.com/bt/access.jsp dial the code then enter 1.800.425.1809 when prompted What Citrix expects of you – Code of Business Conduct http://www.citrix.com/content/dam/citrix/en_us/documents/about/code-of- business-conduct.pdf Raising concerns - If you have a concern about the legality or ethics of conduct of a Citrix employee or another partner then you are expected to raise that concern immediately with your regular Citrix contact or to  more senior management at Citrix. If your concern is not adequately addressed in a timely fashion, or if you prefer to raise the concern with someone else, please contact the Helpline (give details) What Citrix expects of you- (link to Citrix Code of Business Conduct) ie these are the standard we live by and we expect you to do likewise.
