BACK GROUND OF ORDINANCE Finance Minister in the budget 2017-18 had announced a draft bill to curtail the menace of illicit deposit schemes Bill was originally introduced on July 2018 in the parliament It was submitted to standing committee on finance for scrutiny Committee submitted its report on 03-01-2019 After incorporating modifications suggested by the committee it was presented in Lok Sabha and approved Ordinance did not go to Raja Sabha due the lack time; And later 21st February 2019 it is notified as an Ordinance

BACK GROUND OF ORDINANCE Various Scams of fooling investors like Saradha Scam Only regulation to check was Prize Chits and Money Circulation Scheme (Banning) Act, 1978 and was not effective Save Investors from various Ponzi Schemes Restrict illicit deposit taking An authority to regulate the deposit taking activity which is otherwise not regulated Mobilisation of deposit or money for business other than banking, non-banking companies remained unregulated till now. Ordinance prohibits all deposit-taking activities that are not regulated by the country's various regulators, like the Securities and Exchange Board of India (Sebi), Reserve Bank of India (RBI), and Insurance Regulatory and Development Authority of India (IRDAI), among others

The Banning of Unregulated Deposit Schemes Ordinance, 2019N It extends to whole of India except Jammu and Kashmir Competent authority for the purpose of the ordinance shall be state governments and in the case of union territory with out legislature, Central Government. Deposit – Section 2(4) – An amount of money received by way of advance or loan or in any other form, By any deposit taker with a promise to return whether after a specified period or otherwise, Either in cash or in kind or in the form of a specified service, With or without any benefit in the form of interest, bonus, profit or in any other form Definition gives wider meaning to the term deposit

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Deposit does not include: Amount received from a scheduled bank or co-operative bank or other banking company defined in section 5 of the Banking regulation Act, 1949 Amount received as loan or financial assistance from public financial institutions or non-banking financial companies registered with reserve bank of India, Regional Financial institutions or Insurance Companies Any amount received from appropriate government, or any amount received from other source with repayment is guaranteed by the appropriate government, or any amount received from any statutory authority Amount received from Foreign Governments Foreign or International Banks Foreign Bodies Corporate Foreign Citizens etc. subject to the provisions of FEMA, 1999 and the rules and regulations Contribution towards capital by partners of partnership firm or LLP

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Deposit does not include: Amount received by an individual by way of loans from his relatives or amount received by any firm by way of loan from relatives of any of its partners. Any amount received as credit by a buyer from a seller on the sale of any property (whether movable or immovable) Amount received from asset re-construction company which is registered with RBI. Any deposit made under section 34 or an amount accepted by a political party under section 29B of the Representation of People Act, 1951. Any periodic payment made by the members of the self help groups operating within such ceiling as may prescribed by the state government. Any other amount collected for such purpose and within such ceiling as may be prescribed by the state government

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Deposit does not include: An amount received in the course of or for the purpose of, business and bearing a genuine connection to such business including :- Payment, advance or part payment for supply or hire of goods or provision of services and is repayable in the event goods are not sold or service not provided Advance received in connection consideration of immovable property under an agreement or arrangement subject to condition that such advance shall adjusted against such immovable property Security or dealership deposit for the performance of a contract Advance under the long term projects for supply of capital goods shall be deemed to de deposits on the expiry of 15 days from due for payment

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Definition of deposit under companies act 2013 applies to Companies For registered NBFC – Deposit means – as defined in clause (bb) of the section 45-I Meaning of Partner and firm as per Partnership act, 1932 Partner in respect of LLP as per LLP Act, 2008 Expression relative shall have meaning assigned to it in the Companies Act, 2013

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Regulated deposit Scheme are SEBI Collective Investment Scheme Alternative Investment Funds Mutual Funds Schemes under SEBI (Portfolio Managers) Regulations SEBI (Share Bases Employees Benefits) Regulations Any other Scheme registered with SEBI RBI A Scheme under which Deposits accepted by NBFC Scheme or arrangement under which funds accepted by individuals, business correspondents or facilitators as per RBI Guidelines Funds received by authorised system provider operating under payment and settlement system act, 2007 Any other scheme or arrangement regulated by RBI

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Regulated deposit Scheme are IRDA Contract of Insurance State Governments Scheme or arrangement by registered Co-operative Society Chit Fund business sanctioned by State Govt Any scheme or arrangement as per money lending laws regulated by state govt. Prize Chit and money circulation scheme which is not banned National Housing Bank Any scheme or arrangement for acceptance of deposits registered under NHB Act, 1978 PFRDA Any Scheme or arrangement under pension fund regulatory and development authority EPFO Any Scheme, pension scheme or insurance scheme under employees provident fund and miscellaneous provisions act, 1952.

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Regulated deposit Scheme are Central Registrar Multi State Co-op Societies Deposit taken from voting members by multi state co-operative societies MCA Deposits permitted under Companies Act, 2013 Deposit accepted by Nidhi Company or mutual benefit society under section 406 of Companies Act, 2013 Any other scheme notified by central govt under this ordinance

The Banning of Unregulated Deposit Schemes Ordinance, 2019N All unregulated deposit schemes shall be banned No Deposit taker shall directly or indirectly promote, operate, issue any advertisement in respect of un regulated deposit scheme No Deposit taker shall make fraudulent default in repayment or return in regulated deposit scheme No Person shall knowingly make Wrongful inducement in relation to unregulated deposit scheme Prize chit or money circulation scheme banned under the provisions of the Prize Chits and Money Circulation Scheme (Banning) Act, 1978 shall be deemed to be an unregulated deposit scheme under this ordinance.

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Powers of Competent authorities Will have powers similar to those vested in a civil court Provisionally attach property of the deposit taker as well as deposits received. Summon or examine any person it deems necessary for the purpose of obtaining evidence Order the production of records and evidence May impound and retain records and evidence in his custody for such period as he thinks fit. Central Data Base of deposit takers Intimation of business by the deposit taker Competent authority may direct any deposit taker to furnish statement if he has reason to believe that deposits are being solicited. Priority of depositors claim

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Competent authorities shall share all information received under section 29 with CBI Appropriate govt, regulator, income tax authorities, or any other investigating authorities in respect of offence investigated by police or CBI shall share all details with them. Principal officer of banking company, a corresponding new bank, the state bank of Indian etc.. Shall if it has reason to believe a client is a deposit taker shall inform competent authority. Where any newspaper or other publication of any nature, contains any statement, information or advertisement promoting, soliciting deposits under UDS, govt may direct them to make full and fair retraction free of cost

The Banning of Unregulated Deposit Schemes Ordinance, 2019N Offences and Punishment Offences Imprisonment Fine (In Rs.) Solicit deposit under UDS 1-5 year 2 – 10 Lakhs Accept deposit under UDS 2-7 years 3-10Lakhs Fraud in repayment of deposit accepted under UDS 3-10 years 5 Lakhs to 200% of aggregate fund collected Frauds in repayment of RDS(Bailable and congnizable only on complaint by the regulator) Up to 7 years 5 Lakhs to higher of 25 Crores or 3 times of amount made out of such fraud Failure to render service promised under RDS Up to 7 Years 5 Lkhs to higher of 25 Crores or 3 times of amount made out of such fraud Wrongful inducement - UDS 1-5 years Up to 10 Lakhs Repeated offenders 5 -10 years 10-50 crores Failure file intimation by deposit taker or statement - Up to 5 Lakhs

Loan or deposits accepted by Trusts and charitable institutions Membership fee collected by clubs and trusts Deposit from friends and relatives accepted by un-incorporated bodies, individuals etc. for business Deposit from friends and relatives accepted by un-incorporated bodies, individuals etc engaged in money lending business – Interest rate - Section 45S – Sec.4 of KML Act. Sales Advance received by jewellery concerns Deposits accepted from employees
