Aligned Influence, LLC, All Rights Reserved Old Models Head of School and Chairman of the Board Traditionally found in Publically held For-Profit Corporations. However, the elements of this can be seen in municipalities where the Mayor is also the City Manager. In non-profits, it is more commonly seen as an informal structure where the Executive is not the Chairperson of the Board, but is really acting like they are. Large faith based non-profits such as churches often find this happening. Problems: No checks and balances. Some For-Profit leaders are in jail for allowing investors to be harmed. Significant federal external regulation now in place; in fact it could be said that the government has now become the Board for these organizations. Boards should replicate the functions of the HOS. However, now that nearly 50% of For-Profit corporations have separated the roles of the Executive and the Board Chairperson, they will be looking for solutions as well. Problems: It is left the Board so separated from the functions of the organization that those Boards often feel ineffective and sometimes restricted from any involvement in helping the organization move forward.
