Background: Unlicensed and Mis-licensed Opportunity Economic Impact Pirated software continues to be among the largest revenue competitors facing the industry, with an estimated opportunity cost of more than $40B annually*. Piracy affects legitimate businesses that have to compete with those selling counterfeit software and Microsoft and its partners can help work together to stop it. Market Opportunity PCs with unlicensed Windows software continues to be an enormous revenue opportunity for Microsoft and our partners. The base of customers with existing PCs in need of legalization due to counterfeit or unlicensed scenarios is growing. Customers want a solution that will allow them to easily legalize multiple PCs. Customers want to acquire a solution in a way that is familiar to them using their established channel provider. *Source: Fourth Annual Global Software Piracy Study, May 2007, 2006 Worldwide Software Piracy Figures, Business Software Alliance 4

Typical Customer Legalization Scenarios These and other scenarios are all too common, and can result in unlicensed or counterfeit Windows software on customers’ PCs. The need for legalization occurs when the customer: Installed Windows software using leaked or stolen Volume License Keys (VLK). Downloaded software online or from unknown or counterfeit sources. Purchased PCs without an Operating System (OS) preinstalled and then used a Volume License agreement to install the full Windows desktop operating system. Purchased PCs with Windows Vista® Home Premium, Home Basic, or Starter editions, and then used a Volume License agreement to upgrade to Windows Vista Business or Windows Vista Ultimate. Attempted to save costs by doing in-place motherboard upgrades without acquiring new Windows licenses on those PCs. 5
