The purpose of the investment is to provide pledged funds to our warehouse bank, causing them to increase our warehouse facility to $1.5 million dollars. For every dollar we have on deposit we are given access to a funding line of credit on a three or four to one ratio. So this 500K should allow us to increase our existing 500K line to 1.5M or more. And that will allow us to fund more loans and grow more quickly. We will grow by aggressively adding small mortgage companies and banks to our customer base. They are the delivery system that provides us with customers. Your funds will be safe and secure. Your funds will be kept on deposit in a pledge account requiring dual signatures – one from Value and one from You - at F&M Bank in Tulsa Oklahoma. These funds will not be used for any purpose other than the pledge account. They will remain in the pledge account. The transaction will be secured in three ways. First, it will be structured as a preferred stock purchase. This is to enhance the equity side of our balance sheet. The preferred stock will pay you a 12% coupon quarterly. For each 100K you invest, you will earn $12,000 per year. Second, your funds will remain in an FDIC Insured Bank, pledged to secure our increased warehouse line capacity. We will provide you with access to our banker and a copy of the monthly statement showing the funds on deposit. Finally, you may also file a proper UCC9 as additional security. What if you need your money back? We will provide for a contractual put back to the company should you choose to take back their funds. Certain notice requirements will apply just to be sure that we have proper time to replace your funds so as to not disrupt our business. The minimum term of the investment is 12 months.
