  Peter Parker struggles to balance his crime- fighting duties as Spider-Man with the demands of his normal life.  He loses a job, faces financial difficulties, and struggles to maintain his physics studies at Columbia University.

 Harry, now head of Oscorp's research division, sponsors the research of brilliant nuclear scientist Otto Octavius, Peter's idol. Octavius, who dreams of perfecting fusion power, wears a harness of powerful robotic arms with artificial intelligence for an experiment in sustained fusion.

 Though the experiment becomes unstable, the arrogant Octavius refuses to halt it, with disastrous results: his wife is killed, the neural inhibitor chip which prevents the arms from influencing Octavius's own mind is fried by an electrical arc, and the arms are fused to his spine.

 Since that moment Dr. Octavius becomes an Spiderman’s enemy because he thinks than his wike is dead because him so he wants to revenge.

 He left his life of superhero for many days and he becomes to a normal citizen but Without Spider-Man, crime in the city rises approximately 75%. Peter realizes his need after watching a man get mugged, and attempts to remedy his inaction by saving a child from a burning building.

 After that Aunt May advises Peter that sometimes it is necessary to sacrifice one's dreams for the greater good. Realizing that the city's need for Spider-Man is greater than his personal ambitions, Peter desires to become Spider-Man again.

 then proceeds to battle Octavius across town. the two fight each other atop an elevated train and Dr. Octopus throttles the accelerator to maximum and then destroys the control panel. But Spiderman stops the train but then Octopus captured and delivered him to harry

 Harry unmasks Spider-Man and is shocked to discover that the enemy he swore to kill is his best friend, but then peter woke up and convinces Harry to reveal Octavius's whereabouts, so he can rescue Mary Jane and prevent Octavius from finishing his reactor.

then peter find where is octavius and convenced him to stop the reactor and Octavius uses his mechanical arms to collapse the floor of the building, successfully drowning the reactor at the cost of his own life.

Mary Jane sees Peter unmasked and immediately understands the immense burden that his been put on him with this identity, but also sees that he does indeed love her. After they escape, Peter explains that as long as he is Spider-Man, Mary Jane will be a target for his enemies, and they cannot be together

MARY JANE WATSON: A friend Peter has loved since he was a child, yet he gave up the chance of being with her due to his obligations as a superhero. Since then, she has become a successful Broadway actress and model, and becomes engaged to John Jameson.

HARRY OSBORN: He has taken his father's position as head of Oscorp. He supplies Octavius with tritium for the fusion experiment, but when it fails, Harry falls into alcoholism and a desire to kill Spider- Man

Peter Parker has begun to feel secure in his life and plans to propose to Mary Jane Watson, who has just recently made her Broadway musical debut. While Peter and Mary Jane are on a date, a small meteorite crashes nearby, and an extraterrestrial symbiote attaches itself to Peter's moped.

Meanwhile, escaped convict Flint Marko falls into a pit of a particle accelerator that fuses his body with the surrounding sand. The result allows him to shapeshift at will, becoming the Sandman.

Peter's best friend, Harry Osborn, who seeks vengeance for his father's death, which he believes Peter caused, attacks him using new weapons adapted from the Green Goblin technology his father had left behind. During the scuffle, Harry injures his head and suffers from partial amnesia, making him forget his feud and the fact that Peter is Spider-Man.

during a festival honoring Spider-Man for saving Gwen Stacy's life, Sandman attempts to rob an armored car, and overpowers Spider-Man. NYPD Captain George Stacy (Gwen's father) later informs Peter and Aunt May that Ben Parker's killer was actually Flint Marko, and that the now-deceased Dennis Carradine was merely an accomplice.

Wearing the new suit, Spider-Man locates Marko, fights him in a cavernous underground subway tunnel and, upon discovering that water can dissolve Marko's body, rips open a large water pipe to deliver what he believes to be a lethal torrent of water, reducing the Sandman to mud.

Peter confronts Harry at the Osborn mansion. With the help of the black suit, Peter is victorious in a brutal fight, which leaves Harry's face disfigured due to an explosion from one of his own pumpkin bombs.

Brock, by chance, is at the same church praying for Peter's death when the symbiote falls from the tower and takes over his body. Eddie, now reincarnated as Venom, finds the Sandman and suggests joining forces to destroy Spider-Man, to which the Sandman agrees.

The pair of villains put Mary Jane in a taxicab and hang it from a gigantic web above a construction site filled with sand. Peter approaches Harry for help, but is turned down. However, Harry learns the truth about his father's death from his butler Bernard, and arrives in time to rescue Peter; they form an alliance against the two villains.

As the fight progresses, Harry temporarily subdues a gigantic, monstrous incarnation of the Sandman, and Venom attempts to impale Peter with Harry's glider, but Harry jumps in the way and is mortally wounded, suffering the same fate as his father.

During his fight with Venom, Peter notices that falling lengths of pipe appear to distress the symbiote, and Peter recalls how the church bell's toll weakened it, and creates a ring of several pipes around Venom to make a fence of sonic vibrations.

Peter and Harry forgive each other before Harry dies with Mary Jane and Peter at his side. They attend Harry's funeral along with Aunt May, Bernard, and the Stacys. A few days later, Peter walks into the jazz bar where Mary Jane is singing. They embrace, begin to dance and begin to improve on their relationship.

EDDIE BROCK (VENOM)  Peter's rival at the Daily Bugle.  He is exposed by Peter for creating a fake incriminating image of Spider- Man, and leaps at the opportunity to exact his revenge when he bonds with an extraterresrial symbiote.

MARY JANE  Peter Parker's girlfriend and a Broadway actress, whom he has loved since childhood.

HARRY OSBORN  believes Spider-Man murdered his father.
