Decisions to be taken during this meeting 1.Define responsibilities, deadlines, quantities, standards to follow: IFD, UNYA = APPLICATION TESTS (delivery first round: december 2011) NTUA / TNO = NATURAL AGEING TEST (start: november, delivery: spring 2012) TNO / BORNER = ARTIFICIAL AGEING TEST (start: ? - end ? ) 2.Action Plan to fix delamination problem and top coating composition before sending the samples to ageing and application tests (BORNER, NOTT, NTUA, STFI, TNO)

8 Some reminders on legal definitions* BACKGROUNDFOREGROUND AGREEMENT ON EXPLOITATION "background means information which is held by partners prior to their accession to the project (…) as well as copyrights or other intellectual property rights (….) needed for carrying out the project or for using foreground” "foreground means the results, including information, whether or not they can be protected, which are generated under the project. Such results include rights related to copyright; design rights; patent rights; plant variety rights; or similar forms of protection” * All definitions are taken from our Grant Agreement

9 Our Consortium Agreement about Exploitation OUR CONSORTIUM AGREEMENT IS THE REFERENCE FOR ALL RULES OF EXPLOITATION OF THE RESULTS OF THE CONSORTIUM THE EXPLOITATION RULES CAN BE AMENDED DURING OUR PROJECT BUT THEY HAVE TO BE IN LINE WITH THE PRINCIPLES DEFINED IN THE GRANT AGREEMENT SOME QUOTES: “Foreground generated by the RTD Performers is automatically transferred to the relevant SME/SME-AG Partner(s) following the procedures of the Grant Agreement Article II.27 and the Transaction” (PAG. 29 CA) “In case of joint ownership of the Foreground, Parties concerned are asked to agree among themselves on the terms and conditions for exercising the joint ownership. This can be done by signing a specific joint ownership agreement, which shall describe conditions under which the jointly owned Foreground may be utilised in further research or in commercial activities (e.g. by allocating shares of ownership, costs arising from legal protection procedures, revenues from exploitation etc.)” (PAG. 30 CA)

10 Reaching an Agreement on Exploitation THE EXPLOITATION RULES IN OUR CONSORTIUM AGREEMENT HAVE TO BE BETTER DETAILED AND MADE CLEAR THIS IS A NORMAL PROCESS IN ALL PROJECTS THAT MUST BE DONE BY THE MANAGEMENT BOARD SOME QUOTES: “The Management Board shall be responsible for: Content, finances and intellectual property rights (…) including proposals for amendments to this Consortium Agreement” (pag. 12 CA) “the Management Board is composed of all SME-AG Partners involved in the Project, one delegate representing all SME Partners and one delegate representing all RTD Performers” (pag.12 CA)

11 So, what we do then now? THE MANAGEMENT BOARD WILL HAVE TO SUPERVISE THE FOLLOWING ACTIONS : 1.Avoid any Dissemination Activity until December 2.Define exactly the results of the NUROOF project Patent? Non disclosable know how? Scientific Papers? Databases? Softwares? … 3.Agree exactly the background / foreground of each partner behind each result 4.Agree the shares of ownership of the results for the SMEs and the Associations 5.Agree fair and reasonable conditions for the RTDs for the exploitation of the results 6.Agree exploitation costs and profits of each result THE REFERENCE DOCUMENTS WILL BE: AN AGREED EXPLOITATION PLAN (DELIVERABLE 7.2) ► DECEMBER 2011 AN AMENDMENT TO THE CONSORTIUM AGREEMENT ► JANUARY 2012 A FINAL JOINT OWNERSHIP AGREEMENT ► END OF THE PROJECT
