BOARD OF DIRECTORS AN OVERVIEW OF DUTIES AND POLICIES RELATING TO THE BOARD OF DIRECTORS
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY GOVERN (RUN) THE LEAGUE. reg 1 (b) THEY ARE REQUIRED TO APPROVE LEAGUE PRESIDENT’S APPOINTMENTS OF PERSONNEL TO MANAGE, COACH AND UMPIRE ON AN ANNUAL BASIS. reg 1 (b).
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY ARE REQUIRED TO APPROVE/DISAPPROVE VOTING MEMBERSHIP PRIVILEGES TO VOLUNTEERS IN THE LEAGUE. art x sec 1. THEY MAY NOT MOVE ANY MOTION ADVERSE TO THE LITTLE LEAGUE PROGRAM. ANY SUCH ACTION VIOLATES POLICIES AND THAT BOARD NO LONGER REPRESENTS THE MEMBERSHIP. policy.
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY ARE RESPONSIBLE FOR ADOPTING, MAINTAINING AND SUBMITTING TO LITTLE LEAGUE HEADQUARTERS FOR APPROVAL A CONSTITUTION CONSISTENT WITH ALL THE RULES, REGULATIONS AND POLICIES OF LITTLE LEAGUE BASEBALL, INC. AND ARE RESPONSIBLE FOR MAKING AVAILABLE TO THE MEMBERSHIP COPIES OF THE CONSTITUTION AS NECESSARY. reg 1 (c).
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY ARE RESPONSIBLE FOR THE LEAGUE’S BOUNDARIES. reg 2 (a). THEY ARE REQUIRED TO APPROVE ALL SCHEDULES, INCLUDING PRACTICE, REPLAYED, CONTINUED OR RESCHEDULED GAMES. reg 8.
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY ARE RESPONSIBLE FOR ASSURING REQUIRED INSURANCE COVERAGE IS OBTAINED FROM LITTLE LEAGUE OR THEY MUST HAVE ANY NON-LITTLE LEAGUE INSURANCE APPROVED BY THE REGIONAL HEADQUARTERS. reg 1 (c) 7.
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY MAY APPROVE A PLAYER’S REQUEST TO CONTINUE PLAYING IN THEIR LEAGUE UNDER REGULATION 2 (d) AND AN AUTHORIZED ADULT’S CHILD UNDER REGULATION 4 (h). reg 2 (d) & reg 4 (h).
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY ARE REQUIRED TO APPROVE A MANAGER’S REQUEST FOR A REPLACEMENT PLAYER. reg 3 (d) & (e). THEY ARE REQUIRED TO APPROVE A PLAYER’S EXCUSE FOR FAILING TO ATTEND AT LEAST 50% OR THE TRYOUT SESSIONS, OR THE PLAYER FORFEITS ELIGIBILITY FOR THE CURRENT SEASON. reg 4 (f).

SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY ARE REQUIRED TO REVIEW AND INTERVIEW MANAGERS, COACHES OR PLAYERS REMOVED FROM A GAME, AND TAKE APPROPRIATE ACTION. reg 9.05 (c). THEY ARE REQUIRED TO REVIEW THE 10 RUN RULE OPTION (e) note.
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY ARE REQUIRED TO REVIEW ANY FORFEIT REQUESTS, WHERE A TEAM IS UNABLE TO FIELD 9 PLAYERS. rule 4.16 & THEY ARE REQUIRED TO RULE ON VIOLATIONS OF FIELD DECORUM RELATING TO PLAYERS, ACTIONS OF LEAGUE PERSONNEL OR SPECTATORS FOR PENALTY. rule 4.19 note 1.
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY HAVE THE RIGHT TO REMOVE MEMBERS FROM THE ORGANIZATION FOR JUSTIFIABLE REASONS (REGULAR, PLAYER, HONORARY, SUSTAINING). art III sec 4.
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY ARE REQUIRED TO APPOINT ANNUALLY AN AUDITING COMMITTEE TO REVIEW FINANCIAL ASPECTS OF THE PROGRAM AND VALIDATE THE ANNUAL FINANCIAL STATEMENT WHICH MUST BE PUBLISHED. PRESIDENT, TREASURER AND ANY SIGNATORIES OF CHECKS ARE NOT ELIGIBLE. art VIII sec 11.
SPECIFIC DUTIES OF BOARD OF DIRECTORS: THEY MAY ELECT HONORARY MEMBERSHIP TO AN INDIVIDUAL IN RECOGNITION OF EXEMPLARY SERVICE. art III sec 2 (c). THEY MAY ELECT SUSTAINING MEMBERSHIP TO AN INDIVIDUAL IN RECOGNITION OF FINANCIAL OR OTHER CONTRIBUTIONS. art III sec 2 (d).

BASIC LEGAL DUTIES OF BOARD MEMBERS: Diligence –Must act with the care of a reasonably prudent person. Loyalty–Refrain from engaging in activities that injure or take advantage of the organization. Obedience–Must abide by the laws and the terms of an organization’s Constitution and Bylaws.
WHO SHOULD BE ON THE BOARD: People with specific areas of expertise People with the time to serve People who are interested in the organization People to represent different activities within an organization
WHO SHOULD BE ON THE BOARD: People to represent different activities within an organization People who are independent; with no conflicts of interest People who qualify under the organization’s Constitution and Bylaws
ACTIONS BY DIRECTORS: Should be as a result of well- documented facts or a discussion which considered all relevant facts.
BOARD MEETINGS: Frequent attendance should be mandatory Regular meeting dates Written agenda should be prepared Should allow adequate time to thoroughly discuss all issues Information should be distributed to Board members well ahead of meeting
BOARD MEETINGS: (Cont) Open discussion should be encouraged President of league should remain as neutral as possible during discussions All meetings should be accurately and completely documented
DELEGATION OR RESPONSIBILITY: Use of committees permits a more careful examination of a particular matter. Clearly define everyone’s responsibilities, from Board President to assistant coaches. Select and use experts.
BOARD MEMBERSHIP POLICY: No Board Member shall at the same time hold office or be a Member of the Board of any other youth baseball program, or function as a representative of such a program.
