RapidPay Global (RPG) located in Melbourne Australia formed in 2010 and incorporated in 2012 to capitalize on the groups shared experience in card services, multi-media, web development, branding and on-line marketing. RapidPay Global and Cascadia joined forces in 2012 to create a group to provide a customized solution with multiple features to the B2B market. WHO IS RAPIDPAY? 01

WHO IS CASCADIA? Cascadia (C2C) located in Vancouver Canada incorporated in 2008 to capitalize on the groups shared experience in banking, card services and development of financial software/middleware systems. Cascadia created a proprietary modular system to provide banks, processors and corporate the ability to integrate e-commerce platforms seamlessly. 02

Those features include but not limited to as follows: RPG/C2C system is able to integrate with any bank, card processor, e-money group globally and also to operate within bank treasury/cash management departments. Having integrated our API with our cash management partners we can offer a bank within a bank, as an example of the benefit this means to our clients, we can offer same day transactions at very low cost which in turn allows us to offer a significant revenue stream to the client. It also means we have had to go through a stringent due diligence process by the banks including complete & regular auditing of finance & system security. BESPOKE B2B SOLUTIONS 03

Another important benefit is that we have the flexibility to build what the client wants rather than the client being limited to what we can offer. Some of the groups we currently partner with and licenses we hold are as follows: 1) Bank of Montreal Canada (Cash Management) 2) Harris Bank USA (Cash Management) 3) DMS Bank and Trust Cayman Islands (Card Services) 4) Western Union (Quick Collect Service) 5) MasterCard 6) Visa Card 7) Transcom E-License (Card Services) 8) I2C (International Processor) 9) Galileo (International Processor) 10) Experion (KYC Services) 11) US Government FDIC (Funds Insured) 12) US Government approved money license (MSB) 13) PCI Certified (USA Data Security Compliance) FLEXIBILE TO YOUR NEEDS 04

Some examples of groups who are currently using the RPG/C2C platform are as follows: 1.Benefits on Madison USA/ Canadian Insurance Group 2.iCare4 USA/Canadian MLM 3.GlobalPubliCash El Salvador MLM 4.Ipayoptions USA, online payment solution group 5.alive matrix, Global MLM 6.Argent Global Network USA, MLM 7.Ilgamos, MLM We also have card programs running in Iraq/Iran and a Colombian Group are using our system modules. RPG/C2C also provide fraud prevention and risk management, 24/7 data centre and data recovery as well as real time reporting WHO IS USING RAPIDPAY? 05

ONE Solution for Pay IN and Pay OUT Credit Card & NON-Credit Card Pay IN solutions Revenue controlled by your business at all times Create a revenue stream receiving a % of transaction fees Ability to add a rewards/cash rebate program Ability to BRAND every part of the payment solution POTENTIAL OUTCOMES 06

Credit Cards (option to integrate existing processors) Bank deposit / transfer eWallet Third party payment processors can be integrated into the platform Branded ATMs PAY IN OUTCOMES 07

RapidPay can help your business to establish a relationship with a major bank in countries where there is significant sales growth An API can be put in place to link that bank directly with RapidPay BANK DEPOSIT / TRANSFER 09

Members of your business can then do teller deposits or online transfers to that bank to fund their wallets to then pay your business RapidPay is setting up strategic relationships with a growing number of banks in different countries around the world on behalf of their clients Your members can load their wallets via this growing network of local banks creating MORE Pay IN options BANK DEPOSIT / TRANSFER 10

Members can pay your business with funds in their ewallet NO 10% hold back of revenue for 6 months that is often associated with credit card payments Revenue from ewallets is cleared funds NO charge back or fraud risk for the company eWallet can be funded from Pay IN points OR from commissions earned from your business E-WALLET PAYMENTS 11

Consider offering the ability to create Gift Codes from wallet funds and allow members to sell these gift codes to other members to pay for your business products If we do NOT have a payment option for someone they could purchase a Gift Code off a your business member and pay him via other payment methods they agree to Let the members work out how they pay each other. All that your business wants to do is make the sale! GIFT CODES 12

When a member/customer makes payment, where does the sales revenue go? With RapidPay, your business will be set up with a cash management account in one of the partner banks of RPG…OR a bank of YOUR choice can be arranged! This account is owned and controlled by your business ALL Sales Revenue at the point of transaction (less fees) is immediately deposited into the cash management account owned by your business! WHO CONTROLS YOUR MONEY 13

Advantages of having revenue go into the your business account: You have INSTANT access to your revenue You are always in 100% control of your revenue Your revenue can never be held back or delayed by the processor Faster access to sales revenue and reduction in costs due to not having to move funds from processor to company bank account YOUR FUND ARE NEVER AT RISK! 14

Not all wallets are the same: Withdrawals from wallet to bank account typically taking less than 24 hours Faster a member gets his income the better! Typically lower fees than other wallet providers EWALLET FEATURES 15

Not all wallets are the same: Funds in the wallets are in essence a bank account inside a bank so the funds belonging to the members are NEVER at risk due to actions of the wallet provider, your business, etc Low cost flat fees to withdraw funds from eWallet, NOT a percentage of transaction like many programs RapidPay Visa or MasterCard Debit Card (or branded card) can be linked to eWallet 16 EWALLET FEATURES

KYC is often a barrier for those in emerging markets: Ability to offer KYC via mobile phones where internet and computer access is reduced Ability to offer lower KYC requirements for lower transactional volumes FLEXIBLE KYC 17

RapidPay shares the transaction revenue with your business: RPG offers an additional revenue stream by allocating a percentage of transaction fees to your business This revenue stream is paid instantly at the time of the transaction to your business This revenue stream can contribute towards the operating costs of your business The more transactions that occur the more revenue your business receives IS YOUR PROCESSOR PAYING YOU? 18

Below is a scenario of potential fee revenue: 10,000 active users transacting Issue a debit card to 90% of members 75% paying monthly wallet service charge 25% paying monthly wallet inactivity fee 50% performing 2 ATM withdrawals domestically per month 10% performing 2 ATM withdrawals internationally per month 20% doing 5 Point Of Sale transactions a month using the card 5% doing a card to card transfer per month 10% doing a bank to wallet load 50% doing 2 withdrawals a month from wallet to domestic bank 50% doing 2 withdrawals a month from wallet to card 10% doing 1 wallet to wallet transfer a month Generates over $19,000 a month revenue for your business from fees HOW MUCH IS THE FEE REVENUE? 19

Get creative with how you reward members: Can offer rewards programs to incentivise buyer behaviour Offer reward points that can be redeemed against future purchases or speciality products Offer more reward points for NEW products, events, and more… Points awarded at point of transaction All linked to the debit card offered by RapidPay REWARDS & CASH REBATES 20

RapidPay offers a branded white label solution: Brand the ewallet and debit cards to your business Modify fees to incentivise member behaviour Choose the jurisdiction and bank of the cash management account for tax purposes, asset protection, etc BUILD YOUR BRAND! 21

OPTION 1: Generic RapidPay e-wallet/debit card program, basic features and revenue share, basic front end website integration This is a fully functioned platform proving all you need to manage money in and money out. OPTIONS 3: Inclusive of all aspects in Options 1 & 2 and a second currency bin This allows you to have more than one default currency which can reduce costs by avoiding the FX exchanges costs moving from one currency to another when transacting Cost approximately $65,000 IMPLEMENTATION OPTION 03 24
