Governance Review Recommendations 8 October 2011

Agenda ContextRichard Barber ContentDavid Thomas ConsequencesRichard Barber

Context A changing environment -Communications -Events preferences -Membership -Young people's agenda OS Club underplaying its potential -Objectives insufficient -OS engagement under 10% -Unclear links to School and Foundation -Ad hoc involvement with current pupils -No formal Strategy, Annual Plan or Budget -Governance structure reflecting the past, not future

Context Agendas for change -Engagement; how we involve more OS in our activities -Alignment: how we link with the School & Foundation -Relevance: how we support & involve current pupils -Governance: how we modernise the way we run the Club Aims of the Review -Increase members’ enthusiasm, commitment and involvement -Club to be seen as one of the School’s “Special Advantages” -Club effectively run while true to the “Salopian spirit”

Content Process of the Review What has been produced What changes, what doesn’t The new Constitution Rules and Procedures Strategic Plan Committee Appointments

What we have done Extensive initial consultation –40+ interviews and discussion groups –All key stakeholders Headmaster’s survey Informal soundings at OS events Visits to other alumni clubs Consultation on initial proposals Feedback on final recommendations

Conclusions from consultation Proud to be Salopians Goodwill towards the School OS Club seen as having little relevance Events unexciting Committee cumbersome and unaccountable Image of the Club at the School poor Lack of careers support puts School at competitive disadvantage Considerable enthusiasm for change

What we have produced Constitution (replaces Rules of the Club) Rules and Procedures Strategic Plan (in progress)

Strategic Plan Given where the Club is currently positioned the overarching objective for the next 3- 5 years is to create a more vibrant Salopian community. In order to achieve this the Club has set the following specific objectives: 1.To improve communications to all audiences, with particular emphasis on younger generations and the provision of more news on Old Salopians 2.To raise the number of actively participating Old Salopians in Club events to 25% of the membership in 5 years 3.To make Club events especially attractive to younger members so they remain Salopians for life 4.To extend the fellowship of sporting clubs to arts and other activities so as to appeal to a broader range of Salopians 5.To establish a differentiating careers advice and support network that benefits Salopians of all ages 6.To increase the pull-through of all leavers into Club activities 7.To strengthen the relationship between the Club and the School

Committee Nominations Salopian Club Committee President (E)Richard Barber, Peter Worth Chairman (E)Nick Randall Vice Chairman (E)David Thomas Treasurer (E)Richard Boys-Stones Director and Branches Chair (FT)Alex Baxter Sports Chair (E)Paul Nichols Careers Chair (E)TBA Arts & Activities Chair (E)Nigel Davies Young Members’ Chair (E)Hugh Faith Ladies Representative (E)Ashlea Stewart Careers Master (O) Foundation Director (O) Head of School (O) Up to 2 co-opted members (E) Elected Member, (FT) Full time appointed by School and Club, (O) Ex-officio Member

Summary We believe that these changes: –Provide a firm basis for significantly reinvigorating the Club –Strike the right balance in bringing the Club ’ s governance up to date without overburdening it with too weighty a structure –Are very much in line with the advice and opinions given to us by most of the Old Salopians we have consulted.

Consequences Special Resolution 1 –To approve the revised Objects Special Resolution 2 –To approve the change of name to ‘ The Salopian Club ’ Special resolution 3 –To approve the new Constitution of the Club Special Resolution 4 –To approve the appointments to the new Committee
