What’s this Proposed Rule? ● ● The Small Business Jobs Act of 2010 (Jobs Act) was one of the few things passed by the Obama administration. It appears that our elected officials, regardless of party affiliation, like Small Business (SB).   One of the provisions in the Jobs Act allowed the Small Business Administration (SBA) to create Mentor Protégé (MP) programs for economically or socially disadvantaged SB’s. ● ● The National Defense Authorization Act (NDAA) for Fiscal Year 2013 specifically authorizes the SBA to establish a MP Program for all SB concerns 1

What’s this Proposed Rule?   The new program is intended to protect the interests of SB and increase opportunities in the Federal marketplace.   The new MP program is to be modeled on the existing 8(a) MP Business Development program.   The NDAA requires the SBA to issue regulations, subject to notice and comment, within 270 days of enactment of the NDAA.   It also stated that no Federal agency could have their own MP program without SBA approval (DoD is exempt)   Agencies are required to report to the SBA the names, assistance provided to and the progress of the protégé firms on a yearly basis. This program will be tracked and monitored. 2

What’s this Proposed Rule? ● ● On February 5, 2015 the SBA published in the Federal Register details on how they envisioned implementing the new MP program.   In this publication the SBA has asked for the public to comment on their proposal. Reference RIN:3245-AG24 Either through the Federal eRulemaking Portal in or mail to Brenda Fernandez, US SBA, Office of Government Contracting, 409 3rd St, SW, 8th Floor, Washington, DC   So far, 72 comments have been posted.   The deadline for posting comments is May 6,

What is SBA Proposing? ● ● The proposed rule would establish a single Government-wide MP program for ALL Small Business concerns.   SBA has asked for comments on whether there should be one MP program for ALL NAICS codes (there are thousands) and all disadvantaged categories (WOSB, SDVOSB, HUBZone) or 5 separate programs—8a, WOSB, SDVOSB, HUBZone and SB’s. ● ● Under the proposed rule the Government-wide MP program must be identical to the SBA's MP program for 8(a)’s at the time of enactment of the NDAA. 4

What is SBA Proposing? ● ● As such a Large Business (LB) Mentor would be able to do 60% of the work on a Small Business set aside contract. In a zero-sum-game, this means the less work going to SB’s.   I’d suggest that we all make certain that we write in real, quantifiable, substantive benefits into our MP JV agreement 5

What is SBA Proposing? ● ● Under the proposed rule the SB Protégé could claim the assets (including performance experience) of the Large Business Mentor as if they owned them and compete on all Small Business set asides for which they are qualified.   This rule could have all of us competing, not against each other, but rather, against our Mentor. 6

What is SBA Proposing? ● ● The proposed rule would amend the current joint venture provisions to clarify the conditions for creating and operating joint venture partnerships, including the effect of such partnerships on any MP relationships.   We’d have to certify to the Contracting Officer (CO) and SBA that we’ll comply with the JV agreement.   We’d have to submit a report annually to the CO certifying compliance with the regs and the JV agreement with an explanation of how the work was implemented.   SBA believes that the JV should be a legal, unpopulated, separate entity, but, is seeking comment from industry. 7

What is SBA Proposing? ● ● SBA wants to eliminate the less than half the size standard requirement from the 8(a) BD mentor-protégé program and not apply it to the small business mentor-protégé program.   The program would not be just for emerging Small or disadvantaged businesses.   SBA specifically requests comments as to whether the focus of a mentor-protégé program should be restricted to smaller firms or whether, as proposed, the benefits of a mentor protégé program should be open to any firm that qualifies as small. 8

What is SBA Proposing? ● ● The current 8(a) rules allow for a 40% ownership interest in the Protégé by the Mentor.   SBA is asking whether this should be a temporary interest, or whether the ownership should be able to survive the termination of the MP relationship.   Will a LB Mentor want to keep the ownership interest after the MP is gone? Watch out for the cost of buyout on this one. ● ● SBA proposes that the MP should exist for three years. SBA is considering allowing the MP to enter into an additional MP agreement upon the expiration of the original agreement. ● ● Mentor can have more than 1 protégé, no more than 3 9

What is SBA Proposing? ● ● The proposed rule would also require every SB to go through a certification process to confirm eligibility unless the business had already been through a size protest and been found to be a SB.   The Contracting Officer must approve this before contract performance. ● ● If the number of firms seeking SBA to approve their MP relationships becomes unwieldy, SBA may institute certain ‘‘open’’ and ‘‘closed’’ periods for the receipt of applications.   SBA is seeking comment on whether they should have lock out periods. 10

What is SBA Proposing? ● ● Consistent with the 8(a) MP program, a protégé in the Small Business MP program may not become a mentor and retain its protégé status.   Can’t be a Mentor if you’re a Protégé. 11

This Could Be Big ● ● Here are some positive aspects of the proposed MP rules, as I see it   A capable, engaged and committed Mentor could be a benefit to any of us. If you have a need for technical, administrative, business development, policy/practice implementation, bonding, marketing, proposal writing, costing or financial support, a Mentor could be beneficial for all of these. I consider the company I work for to be more than capable technically, administratively and financially. However, the right Mentor could bring us into new market areas, new clients or geographies. 12

This Could Be Bad ● ● Alternatively, this could a long term disaster for our industry   We could be competing against Large Businesses who prey on ignorant Small Businesses   We’re effectively allowing 60% of the Small Business set aside work to become a Large Business set aside   In three years (maybe six) we could be kicked to the curb by our Mentor as it courts another Small Business to “partner” The MP JV has the past performance in CPAR, not you 13
