3 The Agreement---- Is basically broken down into five parts: 1. Terms and Conditions 2. Network Connections Policy 3. Connection request - Information requirement document 4. Non-disclosure Agreement 5. Equipment Loan Agreement

4 Terms and Conditions Attachment #1 Object: To ensure that a secure method of connectivity is provided between and Company and to provide guidelines for the use of network and computing resources associated with the Network Connection as defined within the agreement.

5 Network Connections Policy Attachment #2 Purpose: To ensure that a secure method of network connectivity between and all third parties and to provide a formalized method for the request, approval and tracking of such connections.

6 Connection Request - Information Requirement Document Attachment #3 In accordance with the Network Connection Policy, all requests for Third Party Network Connections must be accompanied by this completed Information Requirements Document. This document should be completed by the person or group requesting the Network Connection.

7 Non-disclosure Agreement Attachment #4 During the course of this particular relationship there may be disclosed to certain trade secrets of the Company.

8 Equipment Loan Agreement Attachment #5 WHEREAS, BORROWER desires to use certain equipment listed on the following page(s) to conduct research, educational, and/or extension activities consistent with goals and missions; and

9 CONTINUED WHEREAS, will lend the equipment to cooperate in the mutually beneficial project(s) if: In consideration for loan of the equipment will receive unlimited use of data, copyrighted or not, for scholarly purposes and not for commercial purposes. will also receive a non-royalty bearing, non-revocable license to use patentable discoveries for non- commercial purposes.
