Article IV - Officers  Offices Held: The officers of this corporation shall be a president, a secretary, and chief financial officer. The Corporation, at the board’s discretion, may also have the chairman of the board, one or more vice presidents, one or more assistant secretaries, one or more assistant treasurers, and such other officers as may be appointed under Article IV, Section 3 of these bylaws

Election of Officers  The officers of this corporation, except any appointed under Article IV, Section 3 of these bylaws, shall be chosen annually by the board and shall serve at the pleasure of the board, subject to the rights of any officer under any employment contract.

Appointment of Other Officers  The board may appoint and authorize the chairman of the board, the president, or another officer to appoint any other officers that the corporation may require. Each appointed officer shall have the title and authority, hold office for the period, and perform the duties specified in the bylaws or established by the board.

Nomination of Officers  Entertain nominations for President.  Entertain nominations for Chief Financial Officer.  Entertain nominations for Secretary.

Appointment to Office  Per the bylaws, sole remaining board of director my appoint members to their nominated position.  The CSLA President recognizes the new CSL Foundation President and relinquishes the floor.

Above and Beyond Scholarship Action Item  Facts presented Pam Oehlman  Discussion  Sense of the board  Motion Between the time of contacting Demco and discovering they would not fund the scholarship, a member applied. It was posted on the website, we had not removed the award. For this year’s award the CSLA Board petitions the CSL Foundation to finance the $1, scholarship for the Above and Beyond Scholarship, giving credit to the Foundation, the CSLFoundation Above and Beyond Scholarship.

Beginning Discussion on Criteria for use of Foundation Funds  Bus, taxi, bus bench, billboard, theatre advertisement.  Conferenceships for members to attend our CSLA conference.  Confernceships for board members to attend AASL, ISTE, ALA, CUE, Administrator, Board of Education, CTA and AFT conference to explain the value of Teacher Librarians.  Conferenceships for those outside the field to attend CSLA conferences.

Foundation to-do list  Write to the Above and Beyond nominee and tell her, if she wins the award it will or will not carry a financial award.  Develop a request for funding application form. Jackie may have one available for review.  Determine the time of your next meeting. (Meetings are on need basis)
