Overview of the Nominating Committee n The Nominating Committee shall be comprised of 15 members — 12 At-Large — 3 Elite Athletes n Two year term starting January 1, of each odd year n Five members of each Nominating Committee shall be nominated to serve for a consecutive term. Up to four may be At-Large members and up to two may be Elite Athlete n Sectional Distribution – No More than two At-Large Members may be domiciled in the same section when they take office and at least one-half of the Sectional Associations shall have a member on the Nominating Committee n No member of the Nominating Committee may be nominated for election as an Officer or Director of the Board n There is a two-term waiting period before a person can return to the Nominating Committee 4

Committee Mission n Select nominees for Board of Directors — Chairman of the Board and President — First Vice President — Two Vice Presidents — Secretary-Treasurer — Nine Directors-at-Large including three elite athletes — Immediate Past President n Select 15 nominees for next Nominating Committee including three elite athletes n Select Chair of next Nominating Committee Goal is to select the best qualified individuals with skills to match organizational needs5

Who Should Submit Application? n Anyone who has a strong passion to help grow the Game of Tennis and has the time and commitment to serve on the USTA Board or Nominating Committee! n Desired Skills — Personal Qualities: Good judgment, common sense, ethics, integrity & loyalty to organization — Business Qualities: Leadership, Vision, Communicator/Listener, Organization n Desired Experience — Broad Experience in the USTA at the Local, District, Sectional & National Levels — Broad Tennis Industry Background and Associated 6

The Interview Session n The typical interview session will last up to 25 minutes for Nominating Committee Candidates and up to 45 minutes for Board Candidates n Questions will be asked by various Nominating Committee Members n The following are examples of questions which might be asked of Candidates: — What specific experience do you have which you feel qualifies you for this position? — How have you, in past experience in your district/section, been able to resolve conflicts and build consensus? — What unique skills do you possess which will make you an effective member of the [BOD/NC]? — What do you see as the biggest challenges facing the USTA over the next few years? 11

Selection and Nominating Timeline n All Candidates that wish to be considered must submit an on-online application no later than February 15, 2008 n Nominating Committee will contact candidates to be interviewed n All interviews will take place during the USTA Annual and Semi-annual Meetings n All Candidates will be notified of the decision of the Nominating Committee no later than the Monday after the conclusion of the USTA Semi-annual Meeting n The Nominating Committee shall file its nominations no later than October 1, 2008 with the Secretary-Treasurer n A notice of nominations shall be mailed by the Secretary-Treasurer to voting Members and Elite Athletes no later than October 5, 2008 n Sectional Associations having an aggregate vote of not less than one- third of the voting membership may submit a petition nominating different individuals. Petitions must be filed with the Secretary- Treasurer no later that October 25,

Timeline (continued) n Immediately following any filings of petitions by the Sections, the Secretary-Treasurer will provide written notice of the meeting of the voting members to elect the board to be held between November 15 and December 1 n On November 5 the Secretary-Treasurer circulates to the voting members a written consent to elections of those who are not elite athletes and nominated by the Nominating Committee if there are no nominations by petition n By no later than November 25 the voting members will sign and return written consents. If all consents are not received, the Secretary-Treasurer will call a meeting of the voting members for the purpose of electing individuals nominated by the Nominating Committee n Between November 15 and December 1 a Special Meeting of the voting members to elect any individuals nominated by petition or the Nominating Committee n The new Board assumes office effective January 1,
