Notice of March 30, 2010 PCSC AGM‏ From: Park City Soccer Club Sent: Sat 2/27/10 3:12 PM Please note for your calendars, the Annual General Meeting for the Park City Soccer Club has been scheduled for Tuesday, March 30, at 7:00pm at the Trailside Park Offices. Anyone interested is welcome and encouraged to attend the meeting. For matters requiring a vote, i.e. Board Member election, Changes in Bylaws, etc., each affiliated team (i.e. GU-11, BU-14 etc.) must have in attendance TWO Team Representatives. These representatives shall serve a one-year term and can either be elected by their respected team’s members (1 vote per team player) or appointed by the Team Manager (in the event no representatives are elected). The Team Manager (**IMPORTANT**) is then required to register the elected or appointed Team Representatives with the Club Secretary, at least 72 hours in advance (by Saturday, March 27 at 7:00pm) of the AGM meeting. If Team Representatives are NOT registered in a timely manner, the affiliated team shall FORFEIT their participatory votes. If you wish to have a say in voting matters concerning your child, your team, and the Park City Soccer Club, we encourage you throw your name in the hat to become a Team Representative or help elect a Team Representative that best represents you. Stay tuned for additional information as we get closer to the meeting date…. 3

PROPOSED CHANGES TO PCSC BYLAWS Change references from Park City ´Extreme’ to ‘Soccer Club’ Change to new Club Logo on front page of Bylaws New club colors [Section 1.03] Add “Academy Director” to Technical Staff [Section 2.09] Add “Communications Director” position [Section 2.10] Add “Manager Coordinator” position [Section 2.10] Add “Camp Administrator” position [Section 2.10] Combine “Referee Director” & “Field Coordinator” positions to create “Club Administrator”[Section 2.10] Add ability of Board of Directors to vote to compensate select individuals holding Support Positions (neither elected nor appointed board members shall receive compensation)[Section 2.10] 25

PROPOSED CHANGES TO PCSC BYLAWS Clarify Section regarding Proxy Voting as follows: Any Club Representative may proxy his or her vote to any Club member in good standing, other than the following individuals: A. An elected or appointed member of the Club Board of Directors B. An individual paid by the Club C. An individual serving as a Team Representative (Ref. Section ii) for two teams Clarify Section ii as follows: … and shall have one (1) vote each. No person may serve in the capacity of a Team Representative for more than two teams. Furthermore, if an individual is serving as a Team Representative for two teams, they may NOT also be named as a proxy by another Club Representative as established by Bylaw Additionally – post to club website as available the following: · Club practice roster policy letter · Scholarship policy letter · Tuition Collection/Reimbursement policy letter 26

Nominations Candidates must have declared their interest 72 hours in advance of the AGM with Club Secretary. Motion to waive requirement and open additional nominations. Candidates must be nominated and be present to accept. All nominations must be seconded.

Election Results Officers of the PC Soccer Club will count ballots this evening. All who are interested are welcome to stay. New appointed officers of the Club will be elected, by quorum of the 5 elected officers, at the first Board meeting following the AGM. 1 year Board appointments (up to 5) and the *Registrar will be made at that time THANK YOU ALL FOR YOUR COMMITMENT TO THE CLUB AND PARTICIPATION THIS EVENING!
