The current outsourced model and workflows for content preparation are at design capacity, have limited scalability, are inefficient and error-prone –Materials processing methodology must be restructured to ensure our ability to support current operations as well as grow efficiently and cost effectively –Content preparation must be brought in house and outside vendors eliminated –The disparate workflows in our three sub-regions must be integrated and unified –Result will be higher productivity, better quality, increased throughput, uniform management reporting and performance tracking Virtually all marquis programmers in region now perform content prep in-house Project would commence Q1FY14 and go live Q1FY15 Executive Summary 3

EMEA MediaCentre The Media Centre is the key to organizing and simplifying the process of content acquisition, preparation, file management, file delivery to playout, and deep archive of assets. Benefits provided: – Better exploitation of program assets across sub-regions/brands – Synergistic workflows – Ability for territory programmers to have visibility of TX assets in other regions – Standardized policies/procedures to maintain corporate compliance – Complete internal control and flexibility of all workflow and decisions – Reduced time to market on new product offerings – Establish “best practices” to improve quality – Eliminate expensive third party vendor media management costs – Channels retain complete control of all creative and editorial functions – Designed to accommodate needs of all current and future linear and VOD – Built-in hooks to link to non-linear / digital platforms content prep infrastructure Functions performed by MC: – Media Asset Management, Transcoding, Deep Archive, Formatting, Proxy Creation, Workflow/Process management, Materials tracking, Creation and delivery of TX-ready materials to playout, Automated Technical QC, Facilities to support editorial QC, Processing of content for non-linear distribution 6

Background - Methodology of Analysis 7 Comprehensive analysis of regional workflow was conducted by hired consultant Recommendations made to attain efficiencies within and between regions RFPs developed and bids were solicited from vendors for two scenarios: Scenario 1 – Construct SPT “Owned and Operated” in-house operation Designed, financed, staffed, and operated internally Central Technical Area to be co-located at London-based data centre and operated remotely from London, Budapest, and Madrid SPT Networks offices RFP sent to 5 systems integrators (SIs) – 5 different MAM applications were vetted 2 SI solutions were short-listed: Television Systems Limited “TSL” (proposing Dalet) Sony Professional Systems, Europe “SPSE” (proposing MBC) The commercial proposals of both are comparable An in-depth comparative analysis has started – Goal for selection: 1 April 2013 Scenario 2 – Utilize Outsourced Managed Service (with a single vendor) SPT defined new expanded workflow and volumes Services provided to Networks for a monthly fee RFP sent to multiple Content Prep Services providers Primary purpose is to “benchmark” pricing against an in-house solution

Requires significant new infrastructure and additional staffing: –MC Central Technical Area to be constructed at London- based Data Centre –Modifications required to SPE IT Network infrastructure to integrate MC –Development required on multiple support systems to tie into MC (e.g., Harris) –London NetOps will require (3) new heads:  (1x) System Administrator (NOTE: this position has day-to-day responsibility for MC support; requires strong software-oriented skill set.  (2x) TQC (Ingest) Operators –New workflow implemented and staff trained –Transition workload from third-party vendors to in-house ops Anticipated go-live date of April 1, 2014 Implementation Plan Specifics – London 9
