Unjust enrichment 4If permittee used bidding credit and seeks to assign or transfer control to entity not meeting eligibility criteria 4Must reimburse Government for bidding credit amount plus interest 4Condition of Commission approval of assignment or transfer 45 year reimbursement period –within first 2 years: 100% –year 3: 75% –year 4: 50% –year 5: 25%. Prohibition on Certain Communications (Anti-Collusion Rule) Section (a)(2)(iv) ensures auction competitiveness. Prohibition applies from application deadline to post- auction down payment deadline. What individuals and entities are subject to the prohibition?

Report if you make or receive a prohibited communication. Follow Procedures Public Notice guidance when reporting. Consult with Auctions Division staff in advance. Prohibition on Certain Communications (Anti-Collusion Rule)

Disclosing Agreements with Other Parties and Joint Bidding Arrangements Identify on your Form 175 all parties with whom you have entered into agreements, arrangements, or understandings of any kind relating to the permits being auctioned, including post-auction market structure. Unwritten agreements and other understandings, including shared relationships between auction “applicants,” such as, officers, directors, and certain owners.

Ownership Disclosure Fully disclose information on the real party or parties in interest and ownership structure of the applicant, pursuant to the standards set out in sections and of the FCC’s rules. Required information on Disclosable Interest Holders (DIHs) and FCC-Regulated Businesses (FRBs) Detailed guidelines on meeting the ownership disclosure requirements are provided in the Procedures Public Notice.

Foreign Ownership Report foreign ownership. Certify compliance with foreign ownership provisions of Section 310 of the Communications Act. Section 310(a) prohibits grant of an FCC license to any foreign government or one of its representatives. Section 310(b) restricts ownership of licenses by four kinds of foreign-owned entities. Contact FCC staff before filing a short-form application if you have questions about complying with these requirements.

Defaults – Delinquencies Red Lights Current defaults or delinquencies block auction participation. Prior defaults or delinquencies, now cured, require higher upfront payments. Who is covered by this rule? Check the Commission’s “red light” database. Resolve any concerns regarding outstanding “redlights” prior to filing the Form 175. FCC Registration Numbers (FRNs)
