Recruitment Know why you are interested in the candidate Describe what you do and how you do it Talk about expectations: yours and their’s Cover strategic issues Listen for commitment & excitement Ask what they want to bring to your board Is it a match?

The Board’s Work Plan… Focuses on the board’s strategic role Documents what the board commits to getting done during the year Contains concrete goals & measurements to be monitored by the board Written Discussed and approved by the entire board Championed by Board Development Committee

What goes on the work plan? Strategic planning Education on critical topics Acting on annual plans and monitoring reports Creating, implementing & monitoring its own action plan Board assessment, individually & collectively Elections CEO evaluation Building trust and sense of mutual purpose

Meeting Management The meeting agenda is a picture of the meeting leader’s vision of board governance.

What makes a good meeting? Focus on things that can not be done apart Adequate, well-managed time Materials in advance Comfortable setting Future focus - Board oriented Everyone participates & learns Form follows function in scheduling

Meeting Preparation Construct a realistic agenda Define the meeting focus, what is to be accomplished, and what to think about in advance Ensure that appropriate information is prepared (less is more) Use a discussion guide Send material 7 – 10 days before meeting

Agenda = Meeting Road map Strategically oriented A collaborative effort Purpose, time and intent for each item Consent agenda Important items first Minimize reports & one-way communication Education & exploration Recognition & celebration Executive session

What’s a consent agenda? Items with no need to discuss One motion Any item can be removed for discussion One vote passes all resolutions

Executive Sessions Routine : every meeting With or without chief executive Covers items such as meeting with auditors or discussing CEO compensation Don’t keep CEO in the dark

Facilitating Discussion Be sure everyone knows “the Rules” Summarize the issue Stay on topic Finish one “thread” before starting another Encourage everyone’s participation Tactfully control those who speak off topic or too long Summarize points of agreement Clarify opposing points of view Restate the objective periodically Move to decision-making and closure

Wrapping Up the Meeting Summarize Thank Review commitments Allow time for evaluations

Following the Meeting Make sure commitments are fulfilled Review evaluations Identify what can be improved Distribute minutes in a timely fashion Note the nature and level of members’ participation. Decide what action should be taken to promote participation and develop leadership.

Building the Board Team Make “getting to know you” easy Name tags/tents “Warm-ups” Opportunities to learn about each other’s skills, perspectives and interests Meetings that are long enough to do that Retreats Occasional social events

Communication Stay in touch -Calls -One-on-one meetings Ask how things are going Periodic messages to the full board Crisis plan – who speaks for the organization?
