Governance Documents C, S, and Benefit Corporations: By-Laws: required in most states. LLC: Operating Agreement – not required but highly recommended! The more that you have in writing, the less risk you run of losing ownership disputes. © 2015 West Hill Technology Counsel, Inc. All Rights Reserved.

Corporate Reports and Taxes All corporate entities are required to file annual reports. If you are doing business in any state, you must file as a foreign corp. in that state. Annual reports are also required in any state you are registered to do business. If you are a LLC, make sure you know how your LLC will be taxed: Partnership or S Corp.
