3 Authority for Proposed Amendments O.C.G.A. §49-2-2 Article X, Section 1 These By-Laws can be amended at any meeting of the Board by a two-thirds vote, provided that the amendment was submitted in writing to the Board at the immediately preceding meeting Office of General Counsel Georgia Department of Human Services

Article I, Section 2 4 Office of General Counsel Georgia Department of Human Services Removes the teal colored DHS logo that is identified as, “The Seal of the Board of Human Services”

Article IV, Sections 4 and 5 5 Office of General Counsel Georgia Department of Human Services Allows the Secretary to preside at board meetings in the absence of the Vice-Chair Defines key election timestamps by meetings rather than months: First meeting of the year → Election of the Nominating Committee Second meeting → Nominating Committee presents a slate of officers and the Board votes on the slate for a July 1 effective date

Article VI, Section 1 6 Office of General Counsel Georgia Department of Human Services States that Board Chair will set the schedule for no less than quarterly board meetings rather than monthly meetings and removes the specificity that meetings will occur in Atlanta Updates the election schedule to coincide with the quarterly board meeting schedule

Office of General Counsel Update 8 Office of General Counsel Georgia Department of Human Services We continue to advocate on behalf of the Department by: Establishing clear expectations regarding the Department’s role in judicial and administrative processes and procedures Handling communications with attorneys for adverse parties and managing direct Department contact with the Office of the Attorney General and outside counsel Providing legal review and drafting of programmatic contracts, agreements and proposals Providing legal review of proposed legislation, programmatic changes, internal policies and procedures
