SAMPLE COVENANT General Responsibilities of the Board of Directors: 1.Support the mission & purpose of XYZ. 2.Act as the fiduciary and guardian of the agency’s assets. 3.Hire and evaluate the Executive Director. 4.Ensure adequate resources; review and approve the budget. 5.Promote the public image of XYZ. 6.Evaluate and monitor programs and services. 7.Assess the performance of the Board of Directors. 8.Participate in ongoing planning to determine direction for XYZ.

SAMPLE COVENANT (CONT.) As a Member of the Board of Directors, I agree to: 1.Identify funds, volunteers and other support and participate in fundraising events. 2.Provide an annual financial donation. 3.Prepare for and attend all board and committee meetings Initial orientation Bi-monthly board meetings Committee meetings as scheduled Serve on at least one committee As many special activities as possible 4.Know the mission, purpose, goals, programs and services and policies of XYZ.

SAMPLE COVENANT (CONT.) 5.Serve in positions of leadership and undertake special assignments willingly.. 6.Avoid the appearance of a conflict of interest and disclose to the Board in a timely fashion any possible conflicts. 7.Help the Board fulfill its fiduciary responsibility (read, understand and monitor financial statements). 8.Adhere to XYZ’s Code of Ethics. 9.Maintain the confidentiality of information such as personnel and contractual issues. 10.Become knowledgeable about XYZ issues.
