Positional Responsibilities As defined the duties of the Parliamentarian are: –Serve as an advisory member of the board Ensure quorum is present for Executive Board Meetings and General Body Meetings Motions clarity is defined prior to voting The parliamentarian or the chair of the meeting should always state the motion you are voting on as well as what the voting means mean prior to voting Understand how a motion should pass –e.g. Does it require 2/3, 3/4, majority vote to pass –Serve as a resource on parliamentary procedure –Serve as a reference on National, Regional, and Chapter governing documents –Chair the elections committee

Positional Responsibilities And…. –Prepare and Review Document Proposals –Support Strategic Projects (e.g. National, Regional, Chapter) –Referee Maintain order during Meetings Assist in Agenda/Meeting Preparation (e.g. ensuring that proper time is allocated for potential motions)

Senate Voting Power –Membership Dues (C. Article VI) –National Bylaws Amendment (C. Article XV) –National Constitution Amendment Proposals/Ratification (C. Article XVI) –Impeachment of NAB/NEB (B. Article VI) –Impeachment of RAB/REB (Reference Regional Bylaws) –Regional Bylaw Amendment –Elected NEB & REB positions at Annual Convention It is vital to build an active relationship with your regional counterpart and the NSBE Senate Understanding your counterpart & the NSBE Senate

“What does the By-Laws Say” Quorum –Chapter Meetings –Regional Meetings –National Convention Voting [Regional By- Laws] –Which Votes require ⅔ –Which Votes require a ¾ –Which vote requires simple majority How many individuals can vote from your board? How many governing documents does your region have? List the names? Does your Chapter Documents (e.g. by-laws) call out specific tasks that must be completed at your first meeting? How can your region amend your Regional governing documents? Understanding your Governing documents

Maintain Order –Ensure that all comments are related to the motion (e.g. your comment is not germane to the topic please reserve your comments until after the motion. Clarify Motions –“Sir/ Madame Chair, I would like to restate the motion and indicate what the voting will mean” –The Motion that is currently on the floor is “insert motion” –If you vote Yes, indicate what that means –If you vote No, indicate what that means –If you abstain, your votes will automatically go in favor of the majority. Example –Motion: I move to appoint XXX to the position of Chapter Finance Chair –Seconder –Discussion Your Chair (or who ever is chairing the meeting) should allot a time for discussion –Either time ends or someone “Calls the Question” –Chair “Time for discussion has ended or the question has been called” –If no one objects (only can object if question is called) then proceed forward –PARLIMENTARIAN ensures that the board understands the intent of their vote –Then Secretary does roll call, raise hand, Yay or Nay voting Parliamentary Procedure: Clarify Motion

Purpose –Review and/or create the documentation needed to make changes that impact the Strategic Plan and NSBE Senate. They will work with the SPTF and other existing committees to ensure National and Regional Documents align with the NSBE 2025 strategy. Governance Taskforce

1. Compile and update all governing documents on the Regional and National level by September 2015. 2. Ensure the documents are updated to NSBE Social Sites on the correct NSBE templates by December 2015. 3. Create amendment proposals for governing documents on regional and national level needed for implementation of the Strategic Plan February 2016 4. Solidifying the NSBE Congress Structure and organizational timeline and changes by September 2015 GTF Responsibilities

What is NSBE Congress? –This Initiative creates a platform that senators and delegates can use to address the ongoing need to leverage voting, interact with regional and national leadership and in yearlong, cross collaborative communication. NSBE Congress
