C ONSTITUTIONAL C HANGES The ADEA Constitution is under review and it is anticipated that the final version will be presented to members for comment by April. The aims of the Constitution are to provide: Fundamental rules for decision making for governing body and management Assurance for the public and stakeholders In addition it facilitates good governance and accountability – enabling the organisation to stay relevant and be able to be productive in a changing environment. At present the Constitution Sub-committee is being led by Director Heike Krausse and includes other members; John Michailidis (Skills Based Director), Fiona McIver, Jayne Lehmann, Jan Alford and Carol de Groot. 3

P ROGRESS TO DATE BY CRWG Face to face meetings, teleconferences and email discussions by the CRWG commenced March 2014 Additional review advice was requested from the Associations Forum Member feedback has also been sought Draft Constitutional Document currently with the lawyers Aim: members interests and rights are maintained with simplified language and that the document adheres to statutory requirements and ensure it meets best practice in governance 4

Increase in Directorship term to 2 terms of 3 years for stability and succession – remain as 6 years total CEO appointment and powers: none previously existed The Board’s role is to govern ADEA The CEO and management team manage operational aspects of ADEA The CEO reports to the Board through the President, who will remain a CDE 6

M AJOR PROPOSED CHANGES SUMMARY Clarification of the ADEA Principle Objects: the expression of the purpose of what ADEA does Change from the Branch based Board structure to a National nominations structure Strengthening the rights of members within the Reprimand, Suspension and Expulsion of members and right of appeal to through an independent process 7

W HAT DOES THIS MEAN FOR ME ? As an ADEA member you will benefit by having: A clearer Constitution with simplified language Your organisation with contemporary approaches that meet evolving governance/legal requirements A greater pool of members to nominate for board positions based on skills to govern ADEA into the future You will benefit by having strong governance, a strong leadership team with the skills to drive ADEA into the future. 8
