Type of Security:Unsecured promissory notes, bearing interest at a simple interest rate calculated on the basis of a 365-day year (the “Notes”). Investors:Individuals and entities acceptable to the Company, who are “accredited investors” under Regulation D of the Securities Act of 1933, as amended (collectively, the “Investors”). Amount:The Company has authorized the issuance and sale of the Notes with an aggregate principal amount of up to $1,000,000. Closing: The initial closing of the transaction shall take place at such time and place as the Company and the initial Investors mutually agree upon, orally or in writing (the “Initial Closing”).
