8 Governance – Institute on Governance Governance comprises the traditions, institutions and processes that determine how power is exercised, how citizens are given a voice, and how decisions are made on issues of public concern.

9 Organizations: 3 Roles There are three distinct roles that are necessary in order for an organization to fulfill its mission: WORK - Performing the tasks required to fulfill the mission. GOVERNANCE - The interface with stakeholders, the source of strategic decisions that shape the organization and its work, and ultimate accountability for the work and actions of the organization MANAGEMENT- The link between governance and work. The organization of tasks, people, relationships, and technology to get the job done

10 Good Governance (from the Institute on Governance) Good governance is about: achieving desired results achieving them in the right way The "right way“: largely shaped by the cultural norms and values of the organization. No universal template for good governance. Must tailor our definition of good governance to our needs and values.

11 Governance – Bottom Line The central component of governance is decision- making. Governance is the process through which a group of people make decisions that direct their collective efforts. Decision Making

12 Governance - Bottom Line Governance may be – by it’s very nature - messy, tentative, unpredictable, and fluid. Governance is complicated because it involves multiple stakeholders. Stakeholders Decision Making Input

14 Benefits of Good Governance People trust your organization You know where you’re going Your organization is connected to your stakeholders You make good decisions People value your work You have the ability to weather crises You have financial stability

15 Governance & CAPA CAPA is an elected governing body. Our governance duty is to make decisions and take action on critical issues affecting P&A employees. Action may include advocacy, advising key players, collaborating with other groups, sharing information, writing letters, making resolutions, and more. Activities in CAPA committees need to include a connection to governance duties.

16 Governance – Discussion Where is CAPA currently engaged in governance activities at the University? Where have we made a difference through governance (our golden moments)? Where do we need to be involved that we are not? How do we ensure stakeholder input into our decisions and resulting actions? How do we communicate our governance decisions and actions with our constituents (accountability)? How do we ensure all P&As are equally represented?
