3 PROCUREMENT (Tender Process) 3 The tender procurement process will consists of two stages: Pre-qualification Stage Step 1 Basic Compliance Submission will be reviewed for compliance with all submission requirements to ensure that mandatory requirements are met. Step 2 Functional Analysis (Technical) Functional Analysis as per the the technical criteria Suppliers need to meet minimum threshold indicated per panel Short listing of tenderers based on the Technical evaluation RFQ Phase ( only to the shortlisted ) Step 1 Price/Rates evaluation (The 90/10 Preference point system) Step 2 Financial evaluations (Financial Statement) Step 3 Objective criteria (Safety, Health & Environmental, Quality and Supplier Development and Localisation)

7 PURPOSE 7 The intent of the contract is to ensure consistency and acceptable standard of services to be provided by Land Surveyors/Technical Surveyors to Eskom. The purpose of this document is to outline the scope of work and minimum requirements for the required services.

8 8 OUR BUSINESS - PROJECTS

9 INTRODUCTION There is a need for Eskom to establish an enabling contract for Land and Rights Acquisition Services. It is envisaged that, the proposed contract will cater for Transmission, Generation, Eskom Real Estate, Distribution, Commercial and Telecommunications, for the period of five (5) years. The intent of the enabling contract is to acquire the services of outside contractors in order to assist Eskom to secure land and rights at least a year before the construction period commences. In other instances Eskom is required to perform involuntary relocation of rights and immoveable properties in order to allow for the development of Eskom infrastructure. Before and during construction, Eskom is required to resolve servitude and construction questions and concerns raised by Landowners. 9

10 SCOPE OF WORK LAND AND RIGHTS ACQUISITION (Negotiators) Locate legal owner of property affected by Eskom plant. Negotiate with owner for the acquisition of land and/or rights for Eskom projects. Averages indicate that 3 visits to a landowner will conclude the deal, either positively or negatively. Negotiated consideration to be based on norm values as per Registered Valuator’s Report. Correctly complete and acquire owner’s signature on the appropriate sections on the standard Eskom Documentation. Negotiate and handle any structure or infrastructure relocations to ensure that Eskom’s project can be built on a clear servitude or land. Complete a negotiator’s report for each negotiation. 10

11 SCOPE OF WORK LAND AND RIGHTS ACQUISITION (Negotiators) Complete a log sheet for each day including kilometers and land owners seen. Hand over all documentation to Eskom. Submit monthly invoices for work completed. 11

12 SCOPE OF WORK (Continued) LANDOWNER LIAISON OFFICER (LOL) Visit each landowner before construction starts to get an access form signed and to explain the construction process. Resolve servitude and construction questions and concerns raised by Landowners. Be the interface between Eskom, the Contractors, site personnel and the Landowners. Co-ordinate all issues relating to the Landowner to ensure that these are timeously and effectively addressed. This includes making sure that Land and Rights issues are directed to the correct channels and once received that the solutions are implemented and the matter closed out. Responsible to the Eskom Project Manager of Land and Rights but will report to the Eskom site personnel as a site person during the construction phase of the project to ensure that the site staff has knowledge of the LOL movements and to ensure that safety is not compromised. 12

13 SCOPE OF WORK (Continued) 13 LANDOWNER LIAISON OFFICER (LOL) Interact with the Environmental Control Officer to resolve any issues raised by the landowners. Liaison with Landowners to clarify issues in respect of Eskom’s legal documentation including access to and the occupation of property, Eskom’s land payment process and the location of anchor foundations. Resolve issues, concerns emanating from Tribal Resolutions. Assisting Landowners to address concerns regarding the content of the draft deed documents and obtaining signature thereof. Liaison with landowners to collect Tax Invoices where these invoices have not been issued to Eskom during the acquisition of the servitude and the clarification of the Tax Invoice requirements. Complete a daily diary, and to deliver bi-weekly and monthly reports to Eskom’s Site Staff and the Eskom Land and Rights person on the liaison done and resolutions concluded.

15 SCOPE OF WORK (continued) MANAGEMENT OF INVOLUNTARY RESETTLEMENT AND RELOCATION OF RIGHTS AND IMMOVEABLE PROPERTIES Identifies and categorise registered and unregistered right holders on Affected Land according to their legal status as at the Cut-Off Date Map the property to be resettled in relation to the cadastral boundary of the affected area Database construction: compiling of owner details Determining replacement cost of affected properties Relocation agreements: negotiate compensation and related conditions. Have it documented on relocation agreement Facilitate Compensation distribution to affected rights holders Monitoring the relocation of affected rights an d properties Facilitate Final compensation for affected rights and properties Certification of completed relocation 15

16 PANEL STRUCTURE Panel A Panel A is segmented into generalists and specialists. The companies applying for this panel are typically national or global industry leaders with capability to carry out large scale generalist or specialist work. These are typically established multidisciplinary suppliers with in-house resources. They will be expected to have fully developed internal processes and procedures (preferably ISO 9001 compliant). They will also be expected to assist Eskom in developing smaller suppliers through skill development. 16

17 PANEL STRUCTURE Panel B Panel B is segmented into Exempted Micro Enterprises (EME) suppliers to accommodate gradual progression of smaller companies. EME is a business that has an annual turnover of R5 million or less or a business that is more than 1 years old. Panel B has also been identified as best suited group to implement a skill development initiative. Panel members will be encouraged to work in partnership amongst themselves, and enter into subcontracting arrangements with Panel A members. At least 20 % of the scope of work will be subcontracted. 17

18 PANEL STRUCTURE Panel S Panel S is a specialist panel that consists of specialized companies or highly qualified individuals. Panel S will be created to allow for direct access to specialized services. The panel will comprise of highly technical individuals or companies with at least five years in provision of a specialized area service. Panel S members can be accessed directly to provide a specialist service or subcontracted to perform a portion of specialized work through Panel A or B Member. Specialist panel is a self-limiting panel, where all technically competent applicants will be eligible to be placed on the panel. The available disciplines for this panel are Involuntary Resettlement Project Manager and Land Owner Liaison 18

See table below for the technical weighting and minimum thresholds to be achieved for each panel. 29 ESKOM RULES AND REQUIREMENTS This is the acknowledgement form issued to the tenderer for his or her own acknowledgement of a clear understanding of all the SHE requirements at Eskom. Signing the form that is Annexure B will be deemed as your acceptance to conform to the following documentation and application of such within your scope of work. The following Policies/Procedures are in support of Eskom SHE requirements: Eskom SHEQ Policy 32-727 Eskom Life Saving Rules, Directive: 240- 62196227 Eskom Substance Abuse Policy 32-37 Eskom Vehicle & Driver Procedure 32-93 Incident Management Procedure 32-95 These are not tender returnables the are only there for guidance and reference purposes 29

30 BASELINE RISK ASSESSMENT The purpose of conducting a baseline HIRA is to establish a risk profile or a set of risk profiles. It is used to prioritise action programmes for issue-based risk assessments. The output of a baseline risk assessment - is a risk profile or set of risk profiles; and it is a clear description of the methodology, system, terminology etc. used in the scoping exercise, and what may be required for the improvement of the baseline HIRA in the future. 30

31 SHE PLAN AND DETAILS A detailed SHE plan which must address but not limited to the following : - Implementation of a SHE system, how it will be monitored and controlled - Training and competency for employees - Access and monitoring and control of visitors - Fire and Emergency preparedness - SHE risk management - How the culture of Zero harm will be entrenched into the company’s operations - The induction programme for all employees and visitors - Incident management - Personal protective equipment and safeguarding of employees - Safety initiatives, SHE awareness and communication - Housekeeping, - Medical certificates - Vehicle and Driver safety 31

32 VALID LETTER OF GOOD STANDING It is essential to ensure that all suppliers that perform work on Eskom premises be registered with the Compensation Fund in terms of the Compensation for Occupational Injuries and Diseases Act (COID Act). In order to ensure the above mentioned the supplier needs to produce a letter of good standing with the Compensation Commissioner. 33 SHE POLICY The Occupational Health and Safety Act, Act 85 of 1993, requires the employer to provide and maintain as far as reasonable and practical a work environment that is safe and without risk to the health of employees. Section 7 of the Act provides direction to employers concerning the health and safety policy of the organisation. A health and safety policy is a written statement of principles and goals embodying the company's commitment to workplace health and safety signed by the CEO. There are no hard and fast rules about what to include in a policy. The employer should create a policy that is suitable and sufficient in order to address the health and safety need of the company. 33
