4 Audience: Partners who resell Microsoft Dynamics financial, supply chain management and CRM solutions via the Dynamics Pricelist must have an active SPA agreement with Microsoft. Existing Partners whose Solution Provider Agreements will expire on 31 st July 2012 and New Partners who want to start reselling these solutions. The Solution Provider Agreement: Is signed between a partner and Microsoft’s Regional Operations Center (ROC) where the ordering partner is located. A single SPA Agreement covers worldwide ordering. Enables partners to place orders for Licenses and BREP. Enables partners to order Microsoft Dynamics products from the Dynamics Price List (DPL) in order to resell to end-customers. Has up to a two-year term with a fixed end-date.

5 There are three Regions and five Regional Operations Centers (ROCs) The location of the Partner entity placing Dynamics orders dictates which ROC the partner needs to sign a SPA or Recorded Affiliate agreement with. Partners need to only sign one SPA Worldwide. If Partners want to place orders via entities in other Regions, they should sign a Recorded Affiliate Agreement with the ROC of that Region. AOC 1. Asia Pacific Operations Centre Excluding China & Japan APOC 4. China* APOC 5. Japan *Only Products approved & registered by the Chinese authorities can be sold to Chinese end-customers and to SPA partners located in China.

6 SPA Structure Partners need only sign one SPA with their local ROC to be able to place orders worldwide. Partners who want to order from other locations through other entities, should have those entities sign the Recorded Affiliate Agreement. Partners must submit a Profile Form together with their SPA Agreement. Minimum Certification Requirements Partners must meet the Minimum Certification Requirements outlined in the SPA Guidelines on PartnerSource. Partners are obligated to keep their MCP list up-to-date Microsoft will provide a minimum of 6 months notice in the event of any changes. Failure to meet the minimum certification requirements will result in the inability to place orders. Minimum Revenue Threshold (MRT) In order to remain an active SPA partner, partner must generate at least $35,000 of gross to partner revenue, at two specified checkpoints. Failure to meet MRT at the first checkpoint (after one year) will result in the SPA expiring and the inability to re- sign for a period of 12 months. Failure to meet MRT at the second checkpoint at the time of renewal, will result in the SPA expiring July 31 2014 and the inability to re-sign for a period of 12 months. Partners who are enrolling in the SPA for the first time will be exempt from the second checkpoint if the second compliance period is less than 12 months. Partners can track their MRT status in VOICE. Ordering Expired or otherwise non- compliant partners cannot place Enhancement Plan (BREP) renewal orders. Partners are obligated to offer new versions of the Licensed Software within 12 months of availability. No Returns Policy – unless stated differently under local law. Demo & Development licenses cannot be used in live operating environment. At least 70% of implementations must be conducted by the SPA partner themselves. If the SPA expires for any reason, Microsoft will contact customers to move them to an active partner.

7 Microsoft adds the right to terminate the SPA in the event of customer escalations or a significant number of customers transferring to a new partner citing partner dissatisfaction as the reason. Right to Terminate (SPA 10.d & 15.b) SPA moves to a 1 year term with automatic extension to 31 July 2014 if the 1 st MRT checkpoint is met. SPA Term & Minimum Revenue Threshold (MRT) updates (SPA 9 & 10.e.4) Updates to the SPA in support of Partners selling to EU/EFTA customers as announced here.here Pricing Changes (SPA 9.b.1 & 3.b.iii) With regards to information in VOICE and general requirements under our privacy policies. Consulting Professionals and Certifications (SPA 6.3.d) Partner must place orders for license/services no later than the customers first use of the product/services or within 30 days of Partners receipt of payment from customer, whichever occurs first. 9 Partners who signed the 2010 version need to re-enroll now! 2010 2011 2012 2013 2014 July ‘10July ‘12 July ‘11July ‘13 July ‘12July ‘14 Partners who signed the SPA released in 2011 do not need to re- enroll until July 2013 Partners who renew their SPA now can stay active until 31 July 2014 Partners with a SPA expiring on July 31, 2012 need to renew their SPA. Partners can check their expiration date from PartnerSource > VOICE > Scorecard > Contacts & Authorizations or by their signed copy of the contract Minimum Revenue Threshold Partners that did not meet their MRT commitments are unable to re-enrol for a period of 12 months. If the SPA is not renewed: Ordering rights for Microsoft Dynamics Solutions will be revoked. Access to PartnerSource may be lost. Customers may eventually be re- allocated to other partners.

Download PDF Agreements, and Sign on Paper Allow 2 weeks for Agreement Processing Renewing the SPA is easy! Ensure you remain enrolled in MPN. If you are due to renew the SPA this year, you will receive an invitation email by June 13 th 2012. Follow the instructions within the SPA Renewal Invitation Email. If you reside in a country where Digital Signatures are offered, you will have the additional option to renew electronically in just a matter of minutes - The invitation email will make this clear to partners! If signing on paper, submit paper agreements to the appropriate ROC. Allow 2 weeks for processing of paper agreements. NOTE: The Regional Operations Center must have processed your completed agreement(s) by July 31, 2012 to avoid any interruption to service or loss of access to tools.

11 Ensure you are enrolled in MPN. Go to the SPA Page on MPN and download the required agreements for your local ROC along with the supporting documents. If you are an affiliate of an existing SPA Partner, complete the Recorded Affiliate Agreement instead of the SPA. Submit one copy of the paper agreements and supporting documents to the ROC address provided within the agreement. Microsoft Confidential13 Check if your SPA is due for renewal this year in VOICE. Ensure the Billing Contact is assigned to an active professional/email address in VOICE. Look out for the invitation email by June 13 2012 and take advantage of the eSigning option, where available. Ensure your MPN membership is up to date. Take action to renew the SPA in time for July 31, 2012 to ensure no interruption of service. Allow at least two weeks for processing if signing on paper, and 2 days if signing electronically. On-going checks: Check the SPA Guidelines page regularly for any policy or minimum certification requirement changes. Enter MCP ID for your Professionals in MPN.
