1 PROCEDURE WITH RESPECT TO DERIVATIVE ACTIONS PART 1- OPPRESSION AND MISMANAGEMENT BY P RADEEP K. 2 Under the Companies Act, 1956 the power to deal with issues relating to oppression, mismanagement etc were vested with Company Law Board (CLB). As per Section 10F of the Companies Act, 1956 the aggrieved party could appeal to High Court against the order of CLB as above. The Companies Act, 2013 (hereinafter referred to as 'the Act') vests these powers with NCLT. Chapter XVI of the Act comprising of Sections 241 to 244 deals with these matters.. The key role and powers of NCLT in these matters have been summarised as follows:-

3 Section 241(1): Any member of a company who complains that- (a) the affairs of the company have been or are being conducted in a manner prejudicial to public interest or in a manner prejudicial or oppressive to him or any other member or members or in a manner prejudicial to the interests of the company; or

4 b) the material change, not being a change brought about by, or in the interests of, any creditors, including debenture holders or any class of shareholders of the company, has taken place in the management or control of the company, whether by an alteration in the Board of Directors, or manager, or in the ownership of the company's shares, or if it has no share capital, in its membership, or in any other manner whatsoever, and that by reason of such change, it is likely that the affairs of the company will be conducted in a manner prejudicial to its interests or its members or any class of members, may apply to NCLT, provided such member has a right to apply under Section 244 of the Act, for an order under Chapter XVI of the Act.

5 Section 241(2): The Central Government, if it is of the opinion that the affairs of the company are being conducted in a manner prejudicial to public interest, it may itself apply to NCLT for an order under Chapter XVI of the Act. Section 244(1): Section 244(1) of the Act provides that the following members of a company shall have the right to apply as aforesaid, namely:-

6 (a) in the case of a company having a share capital, not less than one hundred members of the company or not less than one- tenth of the total number of its members, whichever is less, or any member or members holding not less than one tenth of the issued share capital of the company, subject to the condition that the applicant or applicants has or have paid all calls and other sums due on his or their shares. (b) in the case of a company not having a share capital, not less than one- fifth of the total number of its members:

7 Section 244(2) provides that NCLT may, on an application made to it in this behalf, waive all or any of the requirements specified in clause (a) or clause (b) as aforesaid so as to enable the members to apply under Section 241 of the Act.

8 As per Rule 3 of Draft Companies (Prevention of Oppression and Mismanagement) Rules, 2016, an Application made on behalf of any members of a company entitled to apply under section 244(1), by anyone or more of them, the letter of consent signed by the rest of the members so entitled authorising the applicant or the applicants to present the petition on their behalf, shall be annexed to the Application, and the names and addresses of all the members on whose behalf the Application is presented shall be set out in a schedule to the Application, and where the company has a share capital, the Application shall state whether the applicants have paid all calls and other sums due on their respective shares. A copy of every Application made under this rule shall be served on the company, other respondents and all such persons as the Tribunal may direct.

9 As per Rule 101 of Draft Companies NCLT Rules, 2015 read with Rule 4 of Draft Companies (Prevention of Oppression and Mismanagement) Rules, 2016, application shall not be withdrawn without the leave of the Tribunal. Also, where the applicant withdraws an Application under rule 4 of Draft Companies (Prevention of Oppression and Mismanagement) Rules, 2016, he may be liable for such costs as the Tribunal may award and such withdrawal may also be subject to such conditions as the Tribunal may impose.

10 Also, Rule 102 provides that a copy of every application made under above mentioned section shall be served on the concerned company and on such person as the Tribunal directs and on the Regional Director and Registrar of Companies as well.

11 Rule 105 provides that the Tribunal shall give notice of every application made to it under section 241 or 245 to the Central Government and shall take into consideration the representations, if any, made to it by that Government before passing a final order under those sections.

12 Section 242(1}: If on any application made under Section 241 of the Act, NCLT is of the opinion that the company's affairs have been or are being conducted in a manner prejudicial or oppressive to any member or members or prejudicial to public interest or in a manner prejudicial to the interests of the company and that to wind up the company would unfairly prejudice such member or members, but that otherwise the facts would justify the making of a winding-up order on the ground that it was just and equitable that the company should be wound up, NCLT may, with a view to bringing to an end the matters complained of, make such order as it thinks fit.

13 RELIEF'S TO BE GRANTED Section 242(2): Without prejudice to the generality of the powers under Section 242( 1) as aforesaid, order of NCLT may provide for the following:- (a) the regulation of conduct of affairs of the company in future; (b) the purchase of shares or interests of any members of the company by other members thereof or by the company; c) in the case of a purchase of its shares by the company as aforesaid, the consequent reduction of its share capital; (d) restrictions on the transfer or allotment of the shares of the company;

14 (e) the termination, setting aside or modification, of any agreement, howsoever arrived at, between the company and the managing director, any other director or manager, upon such terms and conditions as may, in the opinion of NCLT, be just and equitable in the circumstances of the case; f) the termination, setting aside or modification of any agreement between the company and any person other than those referred to in clause (e): Provided that no such agreement shall be terminated, set aside or modified except after due notice and after obtaining the consent of the party concerned;

15 g) the setting aside of any transfer, delivery of goods, payment, execution or other act relating to property made or done by or against the company within three months before the date of the application under this section, which would, if made or done by or against an individual, be deemed in his insolvency to be a fraudulent preference; h) removal of the managing director, manager or any of the directors of the company ;

16 i) recovery of undue gains made by any managing director, manager or director during the period of his appointment as such and the manner of utilisation of the recovery including transfer to Investor Education and Protection Fund or repayment to identifiable victims; j) the manner in which the managing director or manager of the company may be appointed subsequent to an order removing the existing managing director or manager of the company made under clause (h) as above; k) appointment of such number of persons as directors, who may be required by NCLT to report to it on such matters as it may direct;

17 l) imposition of costs as may be deemed fit by NCLT; m) any other matter for which, in the opinion of NCLT, it is just and equitable that provision should be made.
