SD MEMBERS DAY A minimum of 50% +1 of the Club is controlled collectively by an entity which has an open and inclusive membership. The membership works on a one member one vote principle. Any profits are reinvested back into the Club as opposed to being distributed to shareholders. The Club is committed to running as a sustainable business. What do we mean by community owned clubs…

RUNCORN LINNETS ● 10th anniversary as successor club to Runcorn AFC ● Third runners-up finish in a row, in the North West Counties League Premier Division ● Missed out on promotion to the Evo-Stik League by two points, despite totaling 98 points. ● The Ladies team won a Championship & Challenge Cup double ● Their juniors, with 31 teams, enjoyed various successes among them our Cheshire Cup winning Under 13 girls

MERTHYR TOWN. Progress over the previous 12 months: ●They have just completed their £1.8m development, which is now open to the community of Merthyr. ● They have released a documentary film called “The Martyrs of 87”, which takes the viewer back to the days when Merthyr were International news after beating Atalanta in the European Cup Winners Cup in 1987. ● They have released a new badge as part of a re-branding programme. Owners were able to vote on two badge designs at the start of the year. ● UEFA Grassroots Club of The Year Award in 2015 ● Won The Southern League Cup for the first time in over 50 years and stabilized in their first season back in the Southern Premier League.

NEWPORT COUNTY AFC ● County supporters managed to raise £236,000 in the month of September, which gave them enough money to take over Les Scadding’s majority shareholding. ● They reached the 3 rd round of the F.A. Cup for the first time in 30 years, going down narrowly to Blackburn Rovers 2-1. ● Managed to stay up in League Two, despite taking over a club bottom of the league

What is it? A consultation to explore how SD can make better use of the resources, expertise and goodwill in the network for the benefit of both members and SD Initially focused on the largest most complex constituency (football trusts/clubs in England and Wales) We anticipate that the consultation will expand to Scotland and other sports after the Members Day SD MEMBERS DAY

Why? The 2015 SD Governance Review identified the need to address engagement highlighted by this extract: “Members would like greater developmental work and more resource allocated to building networks and sharing good practice as well as improved engagement and communication with them. The council structure in its present form is not successful in engaging members – members generally support the idea of councils in principle but nearly half of them are unaware either of their existence or what they do and few seem engaged” SD MEMBERS DAY

Ok, what’s the plan? 1. Find out what matters to the membership 2. Consider priorities, resources and most effective approach 3. Make it happen – kick start some changes by the end of 2016 SD MEMBERS DAY

How will you find out what is important to the membership? 1. Consultation with the different segments of the membership led by different relevant members of the working group 2. Focus groups like this one 3. Through existing network meetings – PL, FL 4. Through past SD annual surveys 5. Through the findings of the SD 2015 Governance review 6. Finally a survey to all contacts on the SD database in September SD MEMBERS DAY

Increasing supporter influence in a structured way Lobbying at a local level for your Trust/Club Lobbying at a national level for changes to the game that benefit us all Lobbying at a network level (e.g. league level, supporter owned clubs) Working together to promote people from the movement into positions of authority and influence in football governance structures e.g. league, county FA Establishing formal control through shares or electing people onto club boards – supporter directors and owners Creating community value – how do trusts ( and clubs) add value to their community Collaborating – working together within member networks and between the networks – knowledge transfer, domain expertise and speaking with one voice Growing the network – increasing the number of Trusts & supporter owned clubs Growing your network – increasing the number of members at your Trust/Club Communicate and Consult often – from members to board and across the networks Raise the profile of supporter owned clubs, good engagement between clubs and supporters and the benefits of the movement overall Helping clubs in crisis – prevention/intervention/solutions

www.gateleyplc.com Who We Are John Burns – Partner in the Commerce, Technology & Media team and heads up the firm’s sports sector. John has acted for a wide range of sports clients including football clubs, agents, sportsmen and leading sports brands. John's experience spans advising on the protection and exploitation of personality rights and drafting and negotiating a vast range of commercial agreements including merchandising and sponsorship agreements. John acts for both brand owners and licensees and has acted in some of the biggest deals in sport, including multi million pound kit and licensing agreements and advising on the naming rights of new stadia. Conor Hannon – Conor is a solicitor in the commercial team and specialises in commercial contracts and intellectual property. Conor gained invaluable experience of sports related contracts, particularly sponsorship agreements, brand protection issues and player/manager image rights contracts, after undertaking a six month secondment at Everton Football Club.

www.gateleyplc.com DEFAMATION Legal Definition The law of defamation protects people and companies against untrue statements that could damage their reputation Two forms – -Libel = written/permanent -Slander = spoken. For an action to be upheld: -a statement needs to be defamatory -publication has caused, or is likely to cause, serious harm to reputation -it needs to refer to the person bringing the claim -it needs to have been published.

www.gateleyplc.com DEFAMATION Banter v Defamation Mere 'chaff and banter' are not defamatory - 'people must be allowed to poke fun at one another without fear of litigation' - (Lord Justice Millet in Berkoff v Burchill (1996). If a comment/post lowers a person’s standing “in the estimation of right-thinking members of society” it will breach the law of libel – (Sim v Stretch (1936)) Put simply, anything that would make others think less of the person the comment/post is about, would constitute defamation.

Internet Service Providers (ISPs) can be held liable for libel if they fail to act after being notified Every person who knowingly takes part in the publication of defamatory material Primary v Secondary publishers Vicarious liability Fan sites should have clear guidelines about what is and isn’t appropriate – should not include defamatory accusations, is it possible to report statements easily, and is there a speedy take down policy

www.gateleyplc.com DEFAMATION Bringing a successful defamation claim: Need to establish: The statement must have been defamatory of you The statement must have been communicated to one or more people You do not have to prove that you suffered any specific damage or loss However, a body corporate, must prove that the defendant has caused, or is likely to cause you monetary loss
