26. Main Provisions of GEM4ME INVESTMENTS PLC Fund
It is created as a private investment fund of an open joint-stock company.
Such juridical structure is not limited on the amount of investors.
The Fund’s goal– to receive funds from investors and to direct them towards the messenger’s development, while having 100% ownership rights for the Maltese company, which controls the Intellectual Property of the messenger.
An emission of the fund’s shares is carried out ( ) according to the public prospect of the emission, there are 2 types of shares:
1) common shares with the value of 0.30 EUR (delvelopers and organizers of the project)
2) preffered shares with the value of 30 EUR (private investors)
By placing the funds, and investor becomes a Company’s shareholder in accordance to the prospect, and receives a certificate of the factual share ownership.
A transfer to the new investment fund will be made for those investors that currently own shares from Gem Technologies Applications Ltd. Company in Seychelles by netting.
