3 Introduction International Business law was created to: - regulate private life - consort legislation of different countries 2 main limits to parties freedom: - law of immediate applicability - prohibition to derogate from laws that interest public order Parties can chose the law applicable and are free to set up abroad … BUT… cant escape from law of immediate applicability !

Definition, goal and application Definition: « The law of immediate applicability is defined as the national law the observation of which is considered as crucial for protection of political, social or economic organisation of the State » Goal of those laws: - They are pursuing a purpose of justifiable general interest - protect the States interests

Definition, goal and application Application : - normally applied even if parties dont want it - applied when there is an element of foreignness in the situation - the law of immediate applicability of the court is applied without taking care about the rules of conflict of laws - two laws of immediate applicability coming from two distinct countries can be contradictory - the judge decides the observance of foreign laws of immediate applicability - the law chosen by the parties can be favoured in front of a law of immediate applicability with the Public Order agreement.

10 III. Exemples Here is an exemple of law of immediate applicability : Civil Code – article 3 (in the French law) « Les lois de police et de sûreté obligent tous ceux qui habitent le territoire. Les immeubles, même ceux possédés par des étrangers, sont régis par la loi française. Les lois concernant l'état et la capacité des personnes régissent les Français, même résidant en pays étranger ».

Exemples Exemple of application: If a contract is drafted between French and English citizens, they can apply English laws because it is the co contracting who determine the laws of the contract. But they have to apply the laws of immediate applicability, French and English one. Otherwise the contract is invalid.
