4 Pre-Deal Tools Acquisition Task Checklist: A “pre-flight checklist” for an M&A deal intended to help ensure that nothing falls through the cracks, and that all the myriad tasks associated with a typical M&A transaction are covered and coordinated. Initial Deal Scoping Discussion: Script for an early stage conversation between the client and law firm of important background information (e.g., deal structure, industry, business objectives and timing), key issues likely to arise, and the scope of law firm’s work to be undertaken. Confirmation of Deal Scope: Framework for a stand alone formal scoping letter on or as an addendum to an engagement letter detailing what the law firm is expected to do and, what the law firm is not expected to do. It also addresses the resources to be employed and how the client and law firm will collaborate.

Deal Management Discussion Outline: Outline of a conversation between the client and the law firm addresses how the deal will be run (e.g., confidentiality concerns, communication protocols, other advisors who are involved, risk factors, closing mechanics and post- closing integration issues). Deal Counsel Compact: Checklist of principles and guidelines that the parties may jointly adopt and customize deal’s outset to promote a higher degree of collaboration among all parties Deal Kickoff Meeting Checklist: Checklist for an initial “all hands/all parties” meeting to address communication and negotiation protocols. Early Due Diligence Assessment: Tool to prioritize due diligence effort by initially focusing on matters of client concern to better managing time and expense of due diligence. Breaks down due diligence into stages to streamline the overall due diligence process when an initial review identifies areas of serious concern.

6 Deal Tools Deal Issues Drafting Guide: List of issues for law firm and client to consider and address at an early stage in establishing negotiating positions and drafting a purchase agreement. Intended to serve as an internal tool. Deal Issues Negotiating Tool: Checklist to highlight and facilitate the negotiation of significant issues early in the process. Roles and Responsibilities Chart (Leading/Assisting/Consulted/ Informed): Assigns and tracks the specific roles and responsibilities of individual members of the deal team and designates those who will be accountable, ensures others are kept in the loop and positioned to provide useful input, and avoids duplication of work because of lack of clarity regarding roles. Task Status Report: Template of a report to communicate the current status of the various tasks that are necessary to close an M&A transaction.

7 Post-Closing Tool Post-Matter Assessment: The checklists guide the client and law firm through the post closing assessment process. Suggest questions that may be considered to elicit lessons learned in the deal process and what the team can do to improve the handling of future M&A transactions.

8 Billing Tools M&A Codes: Codes for budgeting and reporting time incurred by law firms in M&A transactions. Codes reflect the phases of a deal rather than deal tasks and report the use of subject matter experts that support the transaction.   Alternative M&A Fee Arrangements: Sets out a menu of alternative fee structures that can be used by clients and law firms for M&A transactional work.
