Key points: Article 3.3: Comment Raffaela: Unclear why you are having this – just have two levels and voting proportional to that level – clean model with clear expectations - Our Response: This provides Members flexibility when going above the base unit membership fee of $40K for large company (>200 employee) and $20K for small company (<200 employee). For example, a small company, GWS, is contributing $30K. 3.3 Membership Fees are paid in any increment of $1,000/year, where each $1,000 corresponds with 1 IAB vote by the Member organization[TN1] . A Member organization must meet the following minimum membership level at one University Site or spread across multiple University Sites: UF: $260K (Allegro-$40K, Boeing-$80K, Honeywell-$20K, Jabil-$40K, Northrop Grumman-$20K, Prioria-$20K, ARL-$40K) UCF: $140K (Honeywell-$20K, Jabil-$40K, Namjeong-$60K, Northrop Grumman-$20K) Total: $400K

Key points: Figure 1: Comment Raffaella: NSF is connected directly to the center no just via the evaluator [in Figure 1] Our Response: We have changed the organization chart in Figure 1 accordingly. Article 4.9: Edited Before: 4.9 University Policy Committees: Each University Site will form a University Policy Committee consisting of the college Dean (or Dean’s designee[RM1] ). The purpose of each University Policy Committee is to provide oversight to ensure Center compliance with the respective university policies and regulations and to resolve any and all Center administrative issues, including review of academic standards, recruitment strategies, retention issues, funding issues, space requirements, and equipment requirements related to the Center. [RM1]The University policy committees is external to the center. It is comprised of a combination of academic administrators – no center/site directors on this committee - After: 4.9 University Policy Committees: Each University Site will form a University Policy Committee consisting of the college Dean (or Dean’s designee. You must start thinking as a center and not just a loose combination of two independently operating sites Before: 8.1 A major activity of the MIST Center is to execute Research Projects. Research Projects will generally be conducted by undergraduate students, graduate students, and post-doctoral associates under the direction of one or more faculty PI’s at each University Site. Each Research Project is associated with one University Site where the research activities will take place.[RM1] All Center Members may participate in the [DPA2] discussions, advisement, evaluation, and recommended future direction of Research Projects. [RM1]What about for collaborative projects? Key points: Article 9.3: Edited Before: 9.3 Members can buy multiple memberships, but they have the voting power equivalent to two memberships (that is, 80 votes if purchasing two full-large organization memberships, and 40 votes if they purchased two associate-small organization memberships). The maximum number of votes that may be allocated to each Member is limited to the greater of 80 votes or 20% of the total voting pool (e.g. maximum of 100 votes if there were 500 total votes in the center). In the approved version, it had been already simplified to (based on the verbal conversation with Dr. Montelli at the Spring Meeting to: 9.3 The maximum number of votes that may be allocated to each Member is limited to 80 votes. After: 9.3 Members can buy multiple memberships, but they have the voting power equivalent to two memberships (that is, 80 votes if purchasing two full-large organization memberships, and 40 votes if they purchased two associate-small organization memberships). Also where in the membership agreement you have “proprietary”? please send me the membership agreement - Our Response: The membership agreement makes no reference to proprietary material but does refer to intellectual property. We have replaced ‘proprietary material’ with ‘intellectual property. Before: 11.1 Researchers engaged in Center Research Projects shall be permitted to disclose the methods and results of their research after a review by the Members for proprietary materials[RM1] as outlined in the Membership Agreement. [RM1]Proprietary material? Wht do you mean? Please clarify? Key points: Article 13.1 and 13.2: Comment Raffaella: There is no membership from academic institutions into the center – “participation” or “collaboration” Our Response: We have replaced ‘membership’ with ‘participation’. Before: 13.1 New universities may request membership[RM1] into the MIST CENTER as an affiliated site. Each new university requesting membership shall initially obtain concurrence from the Center Director, Site Directors, two-thirds vote of the IAB, and the I/UCRC Program Manager at the National Science Foundation prior to submitting a “Letter of Intent” to join MIST CENTER. Universities requesting membership as an affiliated site must demonstrate their ability to perform synergistic research within the focused research areas of the Center and their willingness to work within the structure, policies and procedures of the MIST CENTER. Upon concurrence by the Center, the new university requesting membership as an affiliated site may continue application per the applicable procedures of the current National Science Foundation I/UCRC program solicitation. 13.2 A new university requesting membership into MIST CENTER shall review their research objectives and program plans, and, obtain and submit within their Planning Grant Proposal a “Letter of Support” from the Site Director at each of the current Center university members.
