DESCRIPTION OF THE ASSIGNMENT Elaborate recommendations for a harmonized approach to roaming pricing and reduction of roaming tariffs among the EaPP. The study will provide comprehensive guidelines on how to implement the harmonized approach at the national level in the EaPP, as well as an assessment of the expected market impact for each country. Inter alia, the Study will assess the feasibility and market impact of a Regional Roaming Agreement (RRA) among the EaPP. Purpose carry out a legal, institutional and policy analysis of roaming regulation in the EaPP issue recommendations on tools and measures to be used for roaming regulation in the EaPP, with the aim of reducing roaming charges provide a cost-benefit analysis of such tools and measures assess the feasibility of and expected impact from the RRA identify barriers and impediments to the implementation of the RRA and provide recommendations for the RRA's sustainable application issue recommendations on the calculation/setting of roaming prices in the EaPP Objectives Page 3

Terms of Reference for the Roaming Study 3/5 2 DESCRIPTION OF THE ASSIGNMENT Geographical scope 6 EaP partners (EaPP): Armenia, Azerbaijan, Belarus, Georgia, Moldova and Ukraine. analysis of the current situation of roaming regulation in the EaPP analysis of the differences between national regulations and best practices analysis of demand and supply of roaming services in the EaPP; review of price levels of retail and wholesale roaming services in the EaPP analysis of the role of travel patterns among EaPP, as well as differences in roaming price levels and termination rates identification of the reasons that cause high roaming charges in the EaPP issuing recommendations for a harmonized approach to roaming pricing and reduced roaming tariffs among the EaPP issuing recommendations for tools and measures for the regulation of roaming services at national level, aiming to reduce roaming charges, increase the transparency of provision of roaming services, safeguard end-users of roaming services and ensure that reduced roaming charges would not threaten the revenues of roaming services providers identification of costs and benefits of intervention schemes proposed for each EaP Partner issuing recommendations for the structure of the RRA and its sustainable implementation Specific tasks/ activities The Study will include the following main tasks/activities: Page 4

2 DESCRIPTION OF THE ASSIGNMENT Analysis of the legal and institutional frameworks underpinning roaming policies in the EaPP Analysis of the existing market data pertaining to the application of roaming policies and key developments in the EaPP regional roaming market Recommendations on tools and measures for possible roaming regulation in the EaPP Cost-Benefit analysis of possible intervention schemes in roaming regulation in the EaPP Recommendations regarding the RRA Consultations on the scope and results of the Study with key line ministries, regulators and operators in the EaPP Report structure After carrying out the Study, the Contractor will produce a Report covering the specific tasks mentioned above in section 2.4, including the consultation with stakeholders during the assignment and on the results of the Study. The Report should include at least the following chapters: The results of the Study should provide complete information for decision makers in order to make an objective and market-based sustainable judgment on the: regulatory roaming policy in each EaP Partner and the EaPP as a whole need to amend national legislation concerning roaming services timing of relevant amendments to the national legislation implementation of particular measures regarding roaming regulation drafting the RRA among the EaPP Expected outputs Page 5

Activity / Deliverable Timing Inception Report, including methodology, staffing, time schedule and summary of the review of existing studies, data and market impact indicators by end May EU baseline defined and material for national/local experts prepared (including questionnaires and explanations) Information and data collection by the 6 national/local experts 1 June-15 July Analysis of information collected nationally and drafting the Study Report July-Aug Pre-final Study Report submitted to the EC and the REWG for comments 31 Aug Presentation of the Report to an EU4 Digital: Telecom or REWG event Sep Final Report based on received comments 29 Sep Final Study Report approved by the EC and the REWG October Publication of the Final version of the Study Report by end Oct The working language will be English; however, the 6 national experts and (if possible) one of the senior experts, should also have good command of the Russian language. The reports will be presented and approved in English and then translated to Russian as well. Page 6
