Constitution – Page 2 VIRGINIA ASSOCIATION FOR TEACHERS OF FAMILY AND CONSUMER SCIENCES, INC., a nonstock corporation of the State of Virginia, whose registered office is located at 3571C Nine Mile Road, Henrico, VA Heywood Road, Richmond, VA 23224, certifies that pursuant to the provisions of Section and of the Code of Virginia, as amended, that by resolution dated 4/6/11 it was resolved by unanimous consent of the Directors that the Articles of Incorporation are amended in their entirety to read as follows: ARTICLE V The Directors shall be elected at the first annual Director’s meeting and each year by majority membership ballot. at each annual meeting thereafter by a majority of the members.(this did not match bylaws pg. 17, Article VIII, Section 2, (c)) Address must be current address of Registered Agent This Article did not match the by laws and has been adjusted for consistency.

The initial registered agent shall be William Gaines Ellyson, who is a resident of Virginia and a member of the Virginia State Bar whose business address is 115 Libbie Avenue in the City of Richmond, Virginia and is the same as the address of the initial registered office. The registered agent shall be Keilondi Johnson, who is a resident of Virginia and a member of the VATFACS Board of Directors, whose address is 5600 Heywood Road,Richmond, VA and is the same as the address of the registered office. The principal office of the corporation is located in 3751-C Nine Mile Road, Henrico, VA Heywood Road, Richmond, VA ARTICLE III MEMBERSHIP AND DUES Section 1. MEMBERSHIP Any person actively involved in the field of Family and Consumer Sciences education in public schools, in private schools, in the State Department of Education, in colleges and universities in the Commonwealth of Virginia is eligible for membership upon payment of dues in the Virginia Association for Teachers of Family and Consumer Sciences, Inc.(VATFACS) and National Association Teachers Family and Consumer Sciences (NATFACS), and VATFACS Members are encouraged to join the Virginia Association for Career and Technical Education (Virginia ACTE). VATFACS members are encouraged to join the and the Association for Career and Technical Education (ACTE). Updated address. Article III, Section I – updated member structure.

ELECTION AND TERM OF OFFICE (page 8) Directors shall include: President, President-Elect, Past President, Vice President, Secretary, Treasurer, and Reporter, and Virginia ACTE Representative and shall be elected… (Page 9)(c) The Vice-President and Secretary serve three years and shall be elected in the year opposite the Reporter, and Treasurer. , and Virginia ACTE Representative. (d) The Reporter, and Treasurer, and Virginia ACTE Representative shall serve three years and shall be elected in the year opposite the Vice President and Secretary. Section 5: No Director may resign if the Corporation would then be left without a duly elected Director or Directors in charge of its affairs, except upon notice to William Gaines Ellyson Keilondi Johnson or his her designee, the Office of the Attorney General, or other appropriate agency in this state. Section 8 (page 10) Directors shall serve without compensation. However; they shall be allowed reasonable advancement or reimbursement of expenses incurred in the performance of their duties. . The Treasurer may receive a monetary stipend and annual membership in VATFACS, NATFACS, VACTE Virginia ACTE, and ACTE.

(c) Serve as Co-chair of the Institute Program Committee (c) (d) Appoint committees not otherwise provided for in the Bylaws. (d) (e)Serve as Virginia's contact person for the National Association Teachers of Family and Consumer Sciences. (e) (f)Coordinate all activities of the Virginia Association for Teachers of Family and Consumer Sciences. (f) (g)Keep the Board of Directors informed of the business of the Corporation. (g) (h)Approve chairs for committees provided for in the Bylaws. (h) (i)Appoint chairs of other committees as deemed necessary. Added co - chair of institute program committee

(e) Serve as consultant to the Scholarship Committee. (f) Serve as consultant to the Institute Program Committee. (f)(g) Assist the President and Executive Board in any other matters as deemed necessary by the President. Duties of President Elect (d) Serve as Co-chair of the Institute Program Committee. (e) Serve as Consultant to the Resolutions Committee. (e) Serve as VATFACS Liaison to the FCCLA Board of Directors. Program Committee was changed and clarified. Now called Institute Program Committee and Past President is consultant

(a) The Membership Committee shall be composed of members from across the state, making an effort to achieve representation from multiple regions. (b) The Chair of the Membership Committee shall be appointed by the Secretary with the approval of the Board of Directors. (c) The Secretary and VACTE Representative shall serve as co-consultants to the Membership Committee. (d) The Committee shall formulate plans for Membership drives and collection of dues. An annual report shall be prepared in writing for presentation to the Board of Directors.Moved to Article IX Section 6. RESOLUTIONS (a) The Resolutions Committee shall research current issues in the field of Family and Consumer Sciences and draft statements expressing wishes, feelings, or decisions to be acted upon by the Association. (b) The Chair of the Resolutions Committee shall be appointed by the President Elect with the approval of the Board of Directors. (c) The President-Elect shall serve as consultant to the Resolutions Committee. (d) The resolutions shall be presented to the Board of Directors for review and presented to the membership at the annual meeting. Deleted Committee Moved Membership to later for consistency. Deleted Resolutions as it is no longer considered needed and can be assigned committee if deemed needed by Board

By Laws – Page 19 Section 5. MEMBERSHIP
(a) The Membership Committee shall be composed of members from across the state, making an effort to achieve representation from multiple regions. (b) The Chair of the Membership Committee shall be appointed by the Secretary with the approval of the Board of Directors. (c) The Secretary and Virginia ACTE Representative shall serve as co- consultants to the Membership Committee. (d) The Committee shall formulate plans for Membership recruitment. An annual written port shall be prepared and presented to the Board of Directors. Moved and updated to reflect current committee duties.

By Laws – Page 20 Section 6. INSTITUTE PROGRAM
The Institute Program Committee shall be composed of members from FACS clusters. The President and President Elect shall serve as Co-Chairs of the Institute Program Committee. The Past President shall serve as Consultant to the Institute Program Committee. The Institute Program Committee shall plan and host the annual professional development institute. Section 7. FINANCE COMMITTEE The Treasurer shall serve as the Chair of the Finance Committee. The Finance Committee shall be appointed by the Treasurer with approval of the Board of Directors. The Finance Committee shall review the financial operations of the organization and make recommendations for greater fiscal responsibility.
