Faster than passage of LLC laws in the 1980s, benefit corporation laws have been adopted in 32 U.S. states, recommended for replication globally by the G8 Social Impact Investment Taskforce, passed into law in Italy and moving forward in 5 other countries. In the few years since it has been widely available, more than 3,000 businesses have adopted this innovative corporate structure and the U.S. Department of Labor has issued new ERISA guidance to make it clear that large institutional investors can invest in businesses with expanded fiduciary duties like benefit corps.
